Resolution No. 2015-071 Vacating Roadway Easement 7260 Ohms Lane
RESOLUTION NO. 2015-71 VACATING ROADWAY EASEMENT WHEREAS, pursuant to Minnesota Statutes § 412.851 the Edina City Council has conducted a hearing preceded by two (2) weeks published and posted notice and mailed notice to the abutting property owners, to consider the vacation of a roadway easement created and amended by the following recorded documents: (1) Declaration of Easements, Restrictions, and Waiver of Damages dated February 21, 1969, recorded April 21, 1969, as Document No. 3771350; (2) Declaration of Easements, Restrictions, and Waiver of Damages dated February 20, 1969, recorded April 15, 1969, as Document No. 3770391; (3) Declaration of Easements, Restrictions, and Waiver of Damages dated February 21, 1969, recorded April 21, 1969, as Document No. 3771351; (4) Declaration of Easements, Restrictions, and Waiver of Damages dated May 26, 1969, recorded June 30, 1969, as Document No. 3781902; (5) Partial Release of Easement recorded January 29, 1970, as Document No. 3857454; and (6) Resolution recorded May 22, 1981, as Document No. 4645217; 10hereinafter referred to as the "Roadway Easement') over property legally described on Exhibit A attached hereto (hereinafter referred to as the "Subject Property"). WHEREAS, that portion of the Roadway Easement as it affects the Subject Property is no longer needed for public purpose. WHEREAS, following the hearing and consideration of the proposed vacation, the Council has determined that it is in the public interest to vacate the Roadway Easement as it affects the Subject Property. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Edina, Minnesota (the "City"), as follows: 1. That portion of the above-described Roadway Easement as it affects the Subject Property is hereby vacated. 2. The vacation shall not affect the authority of any person, corporation, or municipality owning or controlling the electric or telephone poles and lines, gas and sewer lines, water pipes, mains and hydrants thereon or thereunder, if any, to continue maintaining the same or to enter upon such way or portion thereof vacated to maintain, repair, replace, remove, or otherwise attend thereto. 3. The Clerk shall forthwith transmit a certified duplicate of this Resolution to the County Auditor and County Recorder. The Phase 6 Declaration, in Article IV, Section 8 thereof, reserved certain rights in Ryan. for the creation of certain future easements for parking areas, vehicle and pedestrian access paths and drainage area for the non-exclusive . joint use and benefit of the Phase 5 Common Property, the Phase 6 Common Property and the owners and occupants of individual platted lots within both Phase 5 and Phase 6, over, across and under that portion of Phase 6 legally described on Exhibit B I attached hereto and made a part hereof and over, across and under other portions of the Phase 6 Common Property. Ryan is making this Supplemental Declaration for the purposes of creating the easements contemplated by the Phase 5 Declaration and the Phase 6 Declaration, for designating the lands to which the easements created herein shall be appurtenant, and to terminate the "personal and in, gross" nature of its easement rights in Phase 5 and Phase 6 . NOW THEREFORE, for and in consideration of the premises herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. Ryan hereby grants to Phase 5 Association and Phase 6 Association, their respective successors and assigns, the following perpetual, non-exclusive easements: i) An easement, as more specifically described in Paragraph 2 below, for pedestrian and vehicle access across the Phase 5 Common Property, which easement shall be for the mutual benefit of, and appurtenant to, Phase 5 and Phase 6 . • An easement, as more specifically described in Paragraph 3 below, for the use and maintenance of the parking areas located throughout the Phase. 5 Common Property, and an easement as more specifically Y described in Paragraph 4. below, for the drainage area upon that portion of the Phase 5 Easement Area described on Exhibit A attached hereto and made a part hereof, which easements shall be for the mutual benefit of, and appurtenant. to, Phase 5 and Phase 6. iii) An easement, as more specifically described in Paragraph 2-below, for pedestrian and vehicle - _4" • access across the Phase 6 Common Property, which easement shall be for the mutual benefit of, and appurtenant to, Phase 5 and Phase 6. iv) An easement, as more specifically described in Paragraph 3 below, for the use and maintenance of the parking areas located throughout the Phase 6 Common Property and an easement, as more specifically described in Paragraph 4 below, for the drainage area upon that portion of the Phase 6 Easement Area described on Exhibit B attached hereto and made a part hereof, which easements shall be for the mutual benefit of, and appurtenant to, Phase 5 and Phase 6 . 2 . Phase 5 Association and Phase 6 Association agree that the easement rights created herein exist only for the benefit of those landowners, tenants, licensees, business invitees, and others who may lawfully enjoy access to and use of the Phase 5 Common Area and the Phase 6 Common Area. Nothing herein contained shall be deemed to create any rights in the general public or other persons not designated herein. ^6_ • 6. -Phase 5 Association and Phase 6 Association agree that in the event any of the walkways, driveways, vehicle parking areas or drainage areas are redesigned, relocated or rebuilt on either parcel, such redesigning, relocation or rebuilding will not materially alter the benefits afforded hereby to the other parcel. 7. Phase 5 Association and Phase 6 Association agree that each party shall operate, maintain and repair (including, without limitation, parking, striping and lighting of the parking areas) , those portions of the Easement Lands owned by it, so that said Easement Lands remain in neat and good order and condition, free from ice, snow, and debris and, except for temporary interruptions necessitated by repair work, shall not interfere with enjoyment by the other party of the rights set forth herein. In the event the owner of either parcel fails to perform or comply with its obligations hereunder, the owner of the other parcel ("Performing Owner") shall, after giving the non-performing owner ("Defaulting Owner") 30 days ` prior notice (during which period of time the. Defaulting Owner may cure said non-performance) , have a right and license to enter the parcel upon which said non-performance exists ("Default Parcel") and take such steps and perform such work as may be necessary to eliminate and remedy the non--performance, the cost and expense of which, shall be paid by the Defaulting Owner . If the i -7- Defaulting Owner shall fail to pay such costs, the Performing • Owner shall have a lien against the Default Parcel in the amount of all such costs plus the cost and expense of the enforcement of the lien. Any such lien shall be subject and subordinate to the lien of any mortgage placed on the Default Parcel by the owner thereof . 8 . Phase 5 Association and Phase 6 Association hereby further covenant and agree with one another as follows: a . That neither party shall decrease the ratio of parking spaces to square footage of improvements located on the respective parcels; b. That neither party shall change the use of that part of the Easement Lands owned by it from its . present uses, except to the extent that the walkways, driveways, parking areas and drainage area may be enlarged', diminished, redesigned, relocated or rebuilt as contemplated by paragraphs 2, 3, 4 and 6 hereof; and c. That neither party shall take any action relating to its parcel that violates any applicable zoning or other ordinance relating thereto. 9 . . Phase .5 Association and Phase 6 Association shall each carry public liability insurance covering their respective properties and the Easement Lands and shall furnish evidence of such coverage to the other party upon request . Each party • shall be named as an additional insured on the other party' s insurance policy. 10. Phase 5 Association and Phase 6 Association, together with their respective successors and assigns, agree to indemnify and hold the other party, its successors and assigns, harmless from and against any loss, costs, liabilities, damages or claims for damages or other relief arising out of or in connection with the use or maintenance of the Easement Lands, including without limitation, reasonable attorneys ' fees and court costs, except any such loss, costs, liabilities, damages or claims for damages or other relief caused by the willful acts or negligence of the other party, or its successors and assigns. • 11. Phase 5 Association and Phase 6 Association agree to_ cooperate in good faith and with due diligence as to all matters connected herewith or contained herein. In the event that any dispute shall hereafter arise between Phase 5 Association and Phase 6 Association as to any matter contained herein and the parties are unable through good faith. and due diligence to resolve such dispute, then either party may submit such dispute to binding arbitration in accord with .the provisions of the Uniform Arbitration Act currently codified as . . Minnesota Statutes Chapter 5.72, 12, Ryan hereby declares that its reservations of easement rights in Phase 5 and Phase 6, as created by the Phase 5 Declaration and Phase 6 Declaration, are hereby terminated, -9- 13 . The provisions contained in this Supplemental • Declaration may only be amended by written agreement between Phase 5 Association and Phase 6 Association, with the consent of The North Atlantic Life Insurance Company of America and Northern Life Insurance Company, mortgagees of part of Phase 6, which consent shall be required only so long as said mortgagees have an interest in Phase 6 .
