THIS AGREEMENT made this day of , 2012, by and between the
CITY OF EDINA, a Minnesota municipal corporation (hereinafter referred to as the "City") and
INTERLACHEN COUNTRY CLUB, a Minnesota Corporation ("ICC").
RECITALS
WHEREAS, ICC is the fee owner of certain real property situated in the City of Edina,
Hennepin County, Minnesota, located at 6202 Interlachen Boulevard, as legally described in the
attached Exhibit A ("Subject' Property");
WHEREAS, the City approved a site plan and conditional use permit for a new maintenance
building and parking lot for the Subject Property;
WHEREAS, approval of the site plan mandated compliance with the City Engineer's report
which included a requirement that ICC line existing storm sewer force main from lift station to first
ninety degree bend with a CIDP liner;
WHEREAS, because of the excessive cost associated with lining the force main, ICC has
requested that the City Engineer reconsider the requirement for lining of the storm sewer force main;
WHEREAS, the City agrees to approve the site plan without the requirement for lining of the
force main, provided the ICC maintains the storm sewer force main located on the Subject Property

and holds the City harmless from any claims related to the storm sewer force main in accordance with
the terms of this Agreement.
NOW THEREFORE, in consideration of the foregoing facts and circumstances, and for other
good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the
parties hereto hereby agree as follows:
1. SITE PLAN. The City hereby approves the site plan and amends the City Engineer's
report to delete the requirement for lining of the force main and replace it with a requirement that ICC
take over all responsibility for the storm sewer force main, including its repair, maintenance, and
replacement, and that ICC indemnify and hold the City harmless from any claims related to the force
main.
2. ICC RESPONSIBILITY FOR STORM SEWER FORCE MAIN. Commencing
upon the execution of this Agreement, ICC shall be solely responsible for the storm sewer force main,
from lift station to first ninety degree bend, located from City of Edina Storm Sewer Lift Station No. 1,
6202 Interlachen Boulevard including its repair, maintenance, and replacement and all costs
associated with the foregoing. All work by the ICC shall be performed in accordance with all
applicable federal, state, and local rules and regulations, including City standards and specifications for
force mains. If ICC fails to undertake the necessary repair, maintenance or replacement within 30 days
of notification by the City, the City may undertake such repair, maintenance, or replacement, but ICC
shall be responsible for reimbursing the City within 30 days of the receipt of the City's bill for service
for all the costs reasonably incurred by the City in connection with the storm sewer force main.
3. HOLD HARMLESS. In consideration of being allowed to forego lining of the force main,
ICC, on behalf of itself, its successors and assigns, hereby agrees to defend, indemnify and hold
harmless the City, its elected officials, employees, and agents against all liabilities, obligations,
damages, penalties, claims, costs, orders, charges and expenses, including reasonable attorney's fees ,
which may be imposed upon or incurred by or asserted against the City, directly or indirectly, by
reason of (1) the City's approvals for the maintenance building and parking improvements without the
requirement of force main lining; (2) ICC's action or inaction in repairing, maintaining and
replacement of the force main in accordance with the terms of this Agreement.
4. RECORDING. This Agreement shall run with the land and shall be recorded against the
title to the Subject Property.
5. SUCCESSORS AND ASSIGNS. The terms and conditions of this Agreement shall be
binding upon, and shall inure to the benefit of, the parties hereto and their respective successors and
assigns and shall be recorded against the title to the Subject Property.
