GRANT OF PERMANENT EASEMENT
AURORA-EDINA MEDICAL, LLC, a Minnesota limited liability company, hereinafter
referred to as "Grantor", in consideration of One Dollar ($1.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby grant unto
the CITY OF EDINA, a municipal corporation organized under the laws of the State of Minnesota,
the Grantee, hereinafter referred to as the "City", its successors and assigns, forever, a permanent
easement for public sidewalk purposes over, across, on, under, and through land situated within the
County of Hennepin, State of Minnesota, as described on the attached Exhibit "A" and depicted on
the attached Exhibit `B".
INCLUDING the rights of the City, its contractors, agents, servants, and assigns, to enter
upon the easement premises at all reasonable times to construct, reconstruct, inspect, repair, and
maintain said public sidewalk system over, across, on, under, and through the easement premises,
together with the right to grade, level, fill, drain and excavate the easement premises, and the further
right to remove trees, bushes, undergrowth, and other obstructions interfering with the location,
construction, and maintenance of said public sidewalk easement.

The above named Grantor, for itself, its successors and assigns, does covenant with the City,
its successors and assigns, that it is well seized in fee title of the above described easement
premises; that it has the sole right to grant and convey the easement to the City; that there are no
unrecorded interests in the easement premises; and that it will indemnify and hold the City harmless
for any breach of the foregoing covenants.

FAIRVIEW HEALTH SERVICES, a Minnesota non-profit corporation, hereinafter
referred to as "Grantor", in consideration of One Dollar ($1.00) and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, does hereby grant unto
the CITY OF EDINA, a municipal corporation organized under the laws of the State of Minnesota,
the Grantee, hereinafter referred to as the "City", its successors and assigns, forever, a permanent
non-exclusive easement for public watermain purposes over, across, on, under, and through land
situated within the County of Hennepin, State of Minnesota, as described on the attached Exhibit
"A" and depicted on the attached Exhibit `B".
INCLUDING the rights of the City, its contractors, agents, servants, and assigns, to enter
upon the easement premises at all reasonable times to construct, reconstruct, inspect, repair, and
maintain said public watermain system over, across, on, under, and through the easement premises,
together with the right to grade, level, fill, drain and excavate the easement premises, and the further
right to remove trees, bushes, undergrowth, and other obstructions interfering with the location,
construction, and maintenance of said public watermain easement.

The above named Grantor, for itself, its successors and assigns, does covenant with the City,
its successors and assigns, that it is well seized in fee title of the above described easement
premises; that it has the sole right to grant and convey the easement to the City; that there are no
unrecorded interests in the easement premises; and that it will indemnify and hold the City harmless
for any breach of the foregoing covenants.
By accepting this easement, the City agrees, at the City's expense, to repair any damage
caused to Grantor's landscaping or other improvements resulting from the City's exercise of its
rights hereunder, including regrading any soil and replacing any sod disturbed by the City's
activities. In addition, by accepting this easement, the City agrees to indemnify and hold Grantor
harmless from and against any loss, cost, damage, liability or expense, including reasonable
attorneys' fees, suffered or incurred by Grantor arising out of the City's acts or omissions related to
the easement premises or this instrument.

GRANT OF PERMANENT EASEMENT
A 15 foot wide permanent easement for watermain purposes over, under and across the following
described property:
That part of Lot 1, Block 1, Southdale Office Park, according to the recorded plat thereof.
The point of beginning for said centerline is at the terminus of a line drawn parallel with and 48
feet westerly of the following described line:
Commencing at the southeast corner of the Northeast Quarter of Section 30, Township 28,
Range 24; thence Northerly along the Easterly line of said Section (assumed bearing of
North 00 degrees 23 minutes 53 seconds West) for a distance of 630.60 feet; thence deflect
left at an angle of 90 degrees for a distance of 10 feet; thence deflect right at an angle of 90
degrees for a distance of 100 feet to the actual point of beginning of the line being
described; thence deflect left along a tangential curve having a radius of 5 729.5 8 feet and a
delta angle 00 degree 57 minutes 06 seconds for a distance of 95.17 feet and said line there
terminating.
The centerline of said easement is described as follows:
Beginning at the hereinbefore described point of beginning; thence North 89 degrees 36
minutes 05 seconds West 118.24 feet to a point hereinafter referred to as Point A; thence
