Ayes: Brindle, Staunton, Stewart, Swenson, Hovland Motion carried. V. RESOLUTION NO. 2016-05 ADOPTING THE PROPOSED BUDGET The HRA is a separate taxing authority formed by the City Council in 1974. Although the Edina HRA has not used its taxing authority, many other cities that have HRA's and Economic Development Authorities (EDA's) do use the separate taxing authority allowed by MN State Statutes. Other cities in Hennepin County that use HRA/EDA levies in 2016 include Bloomington, Hopkins, Minnetonka, Plymouth, Richfield, Saint Louis Park, Eden Prairie, Maple Grove, and others. HRA adoption of this resolution is a required step in the process of establishing an HRA levy for 2017. The final levy will be considered by the HRA in December. Commissioner Swenson made a motion, seconded by Commissioner Brindle to adopt Resolution No. 2016-05 adopting the 2017 proposed budget and establishing the proposed HRA tax levy payable 2017. VI. POTENTIAL SALE OF REAL ESTATE – 4416 VALLEY VIEW ROAD – CLOSED SESSION Economic Development Director Neuendorf presented the possibility of the sale of the property located at 4416 Valley View Road. The HRA and staff discussed various aspects of the possible sale of the property. The HRA gave direction to staff regarding the property. Motion by Commissioner Swenson, seconded by Commissioner Stewart to move the HRA Work Session back into open session. V. INTRODUCTION: This item pertains to the preliminary redevelopment planning for the Hennepin County Regional Library site at 7001 York Avenue. A Joint Powers Agreement is proposed to authorize the Edina Housing and Redevelopment Authority to work in cooperation with and on behalf of Hennepin County as the County explores alternatives for the future redevelopment of the site. ATTACHMENTS: Description Staff Report: Hennepin County Library JPA Joint Powers Agreement: 7001 York September 20, 2016 Members of the Edina Housing and Redevelopment Authority Bill Neuendorf, Economic Development Manager Hennepin County Library – Redevelopment Planning Joint Powers Agreement Information / Background: Hennepin County officials anticipate several changes at the Regional Services site at 7001 York Avenue. Originally constructed in 1971, this facility has been expanded five times to include a service center and district court in addition to the library. The court functions are in need of security upgrades and the potential restoration of the aging building is estimated to cost $16 million. In order to best utilize County resources, alternatives are being sought to locate this services in more efficient and modern facilities. The “service center” function relocated to Southdale Center Mall earlier in 2016 and the “district court” function are proposed to relocate to a new building on the City of Bloomington Civic Campus. The County is committed to retaining a regional library in the Southdale area and intends to redevelop the site to include a new public library in addition to other complementary uses on the 8-acre site. The County has requested that the Edina Housing and Redevelopment Authority (HRA) coordinate the preliminary planning effort for this site. The attached Joint Powers Agreement (JPA) outlines the scope of work to be performed and the means by which the Edina HRA will be reimbursed for this work. Based on the shared interest in this site and the eventual need for re-zoning, it is strategic to conduct a preliminary planning exercise before any proposals for development are received. Early input from stakeholders, neighbors, market leaders and City officials are intended to identify priorities and concerns so that the real estate community is clearly aware of the preferred direction for this property. STAFF REPORT Page 2 Although the publicly-owned property is in Edina, it is located at the municipal border of Edina and Richfield. The preliminary planning will incorporate suggestions from residents and owners of both cities. In brief, the process to plan for redevelopment and construct a new project will involve five distinct steps. Step 1 Public engagement and conceptual site planning Winter 2016/17 Step 2 Invite Developers to submit proposals Spring 2017 Step 3 Hennepin County to select preferred Developer Summer 2017 Step 4 Developer to prepare plans for re-zoning consideration by City of Edina Late 2017 to 2018 Step 5 Developer to construct new project – likely in multiple phases Late 2018 to 2022 The Edina HRA will serve in the role of “redevelopment planning manager”. Three consultants will also be engaged to bring necessary expertise to the planning process. HGA will lead the public engagement process and prepare preliminary site concepts. Maxfield Research will conduct a preliminary market analysis. Braun Intertec will conduct a preliminary environmental assessment including a preliminary geotechnical study. The total cost for this work will not exceed $49,000. Hennepin County will reimburse the Edina HRA for staff time spent on this project as well as the direct costs of the consultants. It should be noted that the involvement of the Edina HRA is no guarantee that the future redevelopment proposal will be approved. Any final proposal will be subject to the City’s standard design review process. City staff is prepared to execute this work as it is included in the 2016 Work Plan and recommend approval of the attached Joint Powers Agreement. 7001 York Ave JPA Page 1 188298v2 JOINT POWERS AGREEMENT THIS AGREEMENT is made this ______ day of _____________________, 2016, by and between HENNEPIN COUNTY, a public body corporate and politic under the laws of the State of Minnesota (“County”) and the EDINA HOUSING AND REDEVELOPMENT AUTHORITY, a public body corporate and politic under the laws of the State of Minnesota (“Edina HRA”). RECITALS WHEREAS, the County is the fee owner of approximately 8 acres of property located at 7001 York Avenue, Edina, Minnesota 55435 (“Site”). Hennepin County’s Southdale Regional Library and District Court are located on the Site; and WHEREAS, the County’s Service Center, formerly on the Site, was relocated to Southdale Shopping Center mall in May 2016 and the District Court is anticipated to move to the Bloomington Civic Campus in 2019; and WHEREAS, the existing Library building and other attached structures on site require extensive repairs and updates to be kept in good operating condition, the County is considering potential redevelopment of the property; and WHEREAS, it is anticipated that the regional library will remain on the Site, but will be relocated to a new building. The remainder of the Site provides a development opportunity; and WHEREAS, the County desires to have the Edina HRA serve as the “redevelopment planning manager” so that the eventual project proposed for the Site meets the needs of the County and makes a positive impact to the surrounding community; and WHEREAS, the Edina HRA is willing to assist the County with the redevelopment planning for the Site; and 7001 York Ave JPA Page 2 188298v2 WHEREAS, Minnesota Statute Section 471.59 authorizes political subdivisions of the State to enter into Joint Powers Agreements for the joint exercise of powers common to each. NOW, THEREFORE, it is mutually stipulated and agreed to as follows: 1. PURPOSE. The purpose of this Agreement is to define the responsibilities and obligations of the Edina HRA and the County for preliminary site planning, environmental review and developer selection related to the Site. 2. TERM. This Agreement shall be effective on the date of the signatures of the parties to this Agreement and shall remain in effect until completion by the parties of their respective obligations under this Agreement, whichever occurs first, unless amended in writing or earlier terminated by law or according to the provisions of this Agreement. 3. SERVICES. A. The Edina HRA shall provide redevelopment planning management services to Hennepin County for the Site as set forth in Exhibit A, attached hereto (“Services”). The Edina HRA shall be responsible for providing the deliverables specified in Exhibit A at an estimated cost for the Edina HRA’s Services as provided in Exhibit C: The Edina HRA shall serve as the site redevelopment planning manager and contract manager on behalf of the County. The Edina HRA shall enter into contracts with the consultants identified in Exhibit B for the work and at estimated costs identified in Exhibit B (“Consultant Contracts”). B. Except as otherwise specifically set forth herein, the Services shall include the duties and functions set forth in this Agreement and in Exhibit A attached hereto, in compliance with all federal, state and local laws. 7001 York Ave JPA Page 3 188298v2 C. Without limiting the generality of the foregoing, the County shall be responsible for the following: • Approve contract with consultant for preparation of the RFP • Review and approve RFP • Authorize Edina HRA staff to enter the Site, at reasonable times and with advance notice • Authorize and execute any documents necessary to allow the identified consultants to perform the scope of their work and enter the Site under the terms of the Consultant Contracts • Prepare or cause preparation of survey of Site • County staff to participate with Edina HRA assigned staff in reviewing and recommending three developers • If a satisfactory proposal is received, the County shall be solely responsible for selecting the developer and negotiating and entering into an appropriate contract with the selected developer for the redevelopment of the Site. D. To assist the parties in the day-to-day performance of this Agreement and to ensure compliance and provide ongoing consultation, a liaison shall be designated by the County and the Edina HRA. The parties shall keep each other informed, in writing, of any change in the designated liaison. FEES. The County shall pay Edina HRA for the Services provided herein at a rate of $125 per hour, together with costs incurred by the Edina HRA for the Consultant Contracts. The County will pay the Edina HRA for Services rendered prior to the effective date of this Agreement. Invoices will be submitted on a monthly basis by the Edina HRA to Hennepin County. Consultant and vendor costs will be included on the invoices with no additional mark up. The Edina HRA shall include a summary report outlining the completion of deliverables by the Edina HRA with the invoice. Payments to the Edina HRA shall be due within 35 days of receipt of an invoice by Hennepin County. 5. EMPLOYEES. Nothing herein is intended nor should be construed as creating or establishing the Edina HRA’s employees or consultants as the agent, representative, or employee of Hennepin County for any purpose. The Edina HRA shall be solely responsible for compensating employees assigned by the Edina HRA to provide Services under the terms of this Agreement, including any overtime wages incurred, as well as any insurance or employee benefits provided under the policies or agreements of the City of Edina or Edina HRA. In addition, the Edina HRA shall be solely responsible for worker’s compensation, reemployment insurance benefits, and other employee related laws, including OSHA, ERISA, FLSA, and FMLA. The Edina HRA shall retain the authority to control employees providing Services under the terms of this Agreement, including the right to hire, fire and discipline the employee. 6. TERM. The term of this Agreement shall commence upon date of this Agreement and continue until the Services have been completed or the Agreement is otherwise terminated by either party as provided in this Agreement. 7001 York Ave JPA Page 5 188298v2 7. INSURANCE AND INDEMNIFICATION. The County agrees to defend, indemnify, and hold harmless the Edina HRA against any and all claims, liability, loss, damage, or expense arising under the provisions of this Agreement and caused by or resulting from negligent acts or omissions of the County and/or those of County employees or agents. The Edina HRA agrees to defend, indemnify, and hold harmless the County against any and all claims, liability, loss, damage, or expense arising under the provisions of this Agreement for which Edina HRA is responsible, including the Services provided by the Edina. The provisions of the Municipal Tort Claims Act, Minn. Stat. Ch. 466, Minn. Stat. § 471.59, subd. 1a, and other applicable laws govern liability of the County and the Edina HRA. In the event of any claims or actions filed against either party, nothing in this Agreement shall be construed to allow a claimant to obtain separate judgments or separate liability caps from the individual Parties. In order to insure a unified defense against any third party liability claim arising from the terms of this Agreement, the County and Edina HRA agrees to require all contractors or subcontractors hired to do any of the work contemplated by this Agreement to maintain commercial general liability insurance in amounts consistent with minimum limits of coverage established under Minn. Stat. § 466.04 during the term of such activity. All such insurance policies shall name Edina HRA and Hennepin County as additional insureds. 8. NOTICES. All notices required by this Agreement shall be in written form and shall be deemed delivered upon its receipt by the Executive Director if to the Edina HRA or the Manager – Land Management Division if to the County. TERMINATION, SEPARABILITY. A. This Agreement may be terminated by either party upon thirty (30) days’ written notice or at any time, upon mutual agreement of the parties. B. Upon termination, any and all records in the possession of Edina HRA will be returned to and become the property of the County. C. Upon termination, the County shall pay the Edina HRA for all Services performed through the date of termination based on the percentage of the Phase completed and shall reimburse Edina HRA for all Consultant Contract costs incurred as of the date of termination. 10. MISCELLANEOUS. A. This Agreement is governed by the laws of the State of Minnesota. B. In the event that any provision of this Agreement is held invalid, the other provisions remain in full force and effect. C. Any alterations, variations, modifications, or waivers of the provisions of this Agreement shall only be valid when they have been reduced to writing, approved by the parties’ respective Boards, and signed by the authorized representatives of the County and the Edina 7001 York Ave JPA Page 7 188298v2 HRA. D. The parties agree to cooperate and use their reasonable efforts to ensure prompt implementation of the various provisions of this Agreement and to, in good faith, undertake resolution of any disputes in an equitable and timely manner. E. This Agreement may be simultaneously executed in any number of counterparts, all of which shall constitute one and the same instrument.
