HENNEPIN COUNTY LIBRARY – JOINT POWER AGREEMENT FOR REDEVELOPMENT PLANNING Economic Development Manager Neuendorf explained that Hennepin County officials anticipate several changes at the Regional Services site at 7001 York Avenue. Originally constructed in 1971, this facility has been expanded five times to include a service center and district court in addition to the library. The court functions were in need of security upgrades and the potential restoration of the aging building was estimated to cost $16 million. In order to best utilize County resources, alternatives have been sought to locate this services in more efficient and modern facilities. The “service center” function relocated to Southdale Center Mall earlier in 2016 and the “district court” function was proposed to relocate to a new building on the City of Bloomington Civic Campus. The County has committed to retaining a regional library in the Southdale area and intends to redevelop the site to include a new public library in addition to other complementary uses on the 8-acre site. Hennepin County has requested the Edina Housing and Redevelopment Authority (HRA) coordinate the preliminary planning effort for this site. Mr. Neuendorf presents a Joint Powers Agreement (JPA) outlining the scope of work to be performed and the means by which the Edina HRA would be reimbursed. Based on the shared interest in this site and the eventual need for re-zoning, he stated staff it would be strategic to conduct a preliminary planning exercise before any proposals for development are received. Early input from Minutes/HRA/September 20, 2016 Page 2 stakeholders, neighbors, market leaders and City officials are intended to identify priorities and concerns so that the real estate community is clearly aware of the preferred direction for this property. Mr. Neuendorf noted the publicly-owned property was in Edina, but was located at the municipal border of Edina and Richfield. Therefore, the preliminary planning would incorporate suggestions from residents and owners of both cities. Following a brief discussion, Commissioner Staunton made a motion, seconded by Commissioner Swenson approving the Joint Powers Agreement between Hennepin County and the Edina HRA for Redevelopment Planning of the Hennepin County Library site. CALL TO ORDER Chair Hovland called the HRA meeting to order at 5:30 p.m. II. ROLLCALL Answering rollcall were Commissioners Brindle, Staunton, Stewart, Swenson and Chair Hovland. III. PROJECT UPDATES Economic Development Manager Neuendorf provided the following project updates for discussion purposes: 1) “For Sale” sign placed on 3930 W 49 ½ Street and a Request for Proposals was issued for the same address. The RFP also included the North Parking Garage located at 3926-40 West 49 ½ Street. Responses are due September 30, 2016; 2)The former site of the Hooten Cleaners has been kept in case any business needed a temporary location during redevelopment. 3) Discussed possible scenarios for redevelopment of 4416 and 4500 Valley View road. Council gave direction to staff regarding moving forward; 4) 66 West Apartments made first TIF payment July 2016 with a second and final payment anticipated in the spring of 2017. Project completion anticipated late summer 2017; 5) Greater Southdale area discussed. Working group anticipates completion of work by December 31, 2016. Staff working to coordinate improvements in the 66th and York area with Hennepin County. HRA and Hennepin County Joint Powers Agreement for Redevelopment Planning Assistance. Ad hoc Advisory Task Force suggested to help evaluate proposals for re-development with final decision by Hennepin County subject to City approvals required. 6) Grandview District Redevelopment – staff will review all public input to date and craft a new concept for review by the Council. Status of former Public Works site, consultants preparing conceptual study for Grandview Green; 7) Pentagon Park Progress noted; and 7) Southeast Edina project area site search for affordable housing on hold due to pocket-veto of 2016 Tax Bill. IV. (HGA) $21,700 Information/Background: This contract for professional services is related to the Edina HRA's role as development planning manager for the Hennepin County Library site at 7001 York Ave. A multi-disciplined firm is needed to conduct the initial public engagement sessions and to prepare preliminary concept plans for inclusion in future outreach to the real estate development community. Several local planning and architectural firms were invited to submit proposals to this work. Five firms submitted proposals. After discussion with Hennepin County staff, HGA, Inc. are recommended for this work based on their expertise in mixed-use developments and public facilities, their experience in Edina and elsewhere in Hennepin County and their cost. Hennepin County will reimburse the Edina HRA for the cost of this work in accordance with the recently approved Joint Powers Agreement. Professional Service Agreement – HGA 189419v1 7001 York Ave Preliminary Redevelopment Planning Page 1 PROFESSIONAL SERVICES AGREEMENT AGREEMENT made this ________ day of ___________________, 2016, by and between the EDINA HOUSING AND REDEVELOPMENT AUTHORITY, a public body corporate and politic under the laws of the State of Minnesota ("HRA") and HAMMEL, GREEN AND ABRAHAMSON, INC., a Minnesota corporation (hereinafter referred to as "Consultant"). IN CONSIDERATION OF THEIR MUTUAL COVENANTS THE PARTIES AGREE AS FOLLOWS: 1. SCOPE OF SERVICES. The HRA retains Consultant for 7001 York redevelopment and site planning in accordance with the contract documents. 2. CONTRACT DOCUMENTS. The following documents shall be referred to as the "Contract Documents," all of which shall be taken together as a whole as the contract between the parties as if they were set verbatim and in full herein: A. This Professional Services Agreement B. Consultant’s proposal for City of Edina and Hennepin County 7001 York redevelopment and site planning dated August 24, 2016 In the event of conflict among the provisions of the Contract Documents, the order in which they are listed above shall control in resolving any such conflicts with Contract Document “A” having the first priority and Contract Document “B” having the last priority. 3. COMPENSATION. The HRA shall pay the Consultant and the Consultant shall accept as payment a fixed fee of $20,800.00 and reimbursable expenses not to exceed $900.00 inclusive of taxes and all other charges (the “fee”). This fee shall not be adjusted if the estimated hour to perform a task, the number of required meetings, or any other estimate or assumption is exceeded. The HRA shall make payments on the basis of work performed upon receipt of an invoice from the Consultant. Payment shall be made by the HRA within thirty five (35) days of receipt of an invoice unless the invoice is disputed. 4. COMPLETION DATE. The Consultant’s work under this Agreement must be completed on or before August 1, 2017. 5. OWNERSHIP. All reports, plans, models, software, diagrams, analyses, and information generated in connection with performance of this Agreement shall be the property of the HRA. The HRA may use the information for its purposes. The HRA shall be the copyright owner of the web site design, and other systems and products provided to the HRA by the Consultant pursuant to this Professional Service Agreement – HGA 189419v1 7001 York Ave Preliminary Redevelopment Planning Page 2 Agreement. The HRA shall have all common law, statutory and other reserved rights, in addition to the copyright. 6. CHANGE ORDERS. All change orders, regardless of amount, must be approved in advance and in writing by the HRA. No payment will be due or made for work done in advance of such approval. 7. COMPLIANCE WITH LAWS AND REGULATIONS. In providing services hereunder, Consultant shall abide by all statutes, ordinances, rules and regulations pertaining to the provisions of services to be provided. 8. STANDARD OF CARE. Consultant shall exercise the same degree of care, skill, and diligence in the performance of the services as is ordinarily possessed and exercised by a professional consultant under similar circumstances. No other warranty, expressed or implied, is included in this Agreement. HRA shall not be responsible for discovering deficiencies in the accuracy of Consultant’s services. 9. INDEMNIFICATION. Consultant shall indemnify and hold harmless the HRA, its officers, agents, and employees, of and from any and all claims, demands, actions, causes of action, including costs and attorney's fees, arising out of or by reason of the execution or performance of the services provided for herein and further agrees to defend at its sole cost and expense any action or proceeding commenced for the purpose of asserting any claim of whatsoever character arising hereunder. 10. INSURANCE. Consultant shall secure and maintain such insurance as will protect Consultant from claims under the Worker’s Compensation Acts, and from claims for bodily injury, death, or property damage which may arise from the performance of services under this Agreement. Such insurance shall be written for amounts not less than: Commercial General Liability $1,000,000 each occurrence/aggregate Professional Liability $1,000,000 each claim The HRA shall be named as an additional insured on the general liability policy. Before commencing work the Consultant shall provide the HRA a certificate of insurance evidencing the required insurance coverage in a form acceptable to HRA. 11. INDEPENDENT CONTRACTOR. The HRA hereby retains Consultant as an independent contractor upon the terms and conditions set forth in this Agreement. Consultant is not an employee of the HRA and is free to contract with other entities as provided herein. Consultant shall be responsible for selecting the means and methods of performing the work. Consultant shall furnish any and all supplies, equipment, and incidentals necessary for Consultant’s performance under this Agreement. HRA and Consultant agree that Consultant shall not at any time or in any manner represent that Consultant or any of Consultant's agents or employees are in any manner agents or employees of the HRA. Consultant Professional Service Agreement – HGA 189419v1 7001 York Ave Preliminary Redevelopment Planning Page 3 shall be exclusively responsible under this Agreement for Consultant’s own FICA payments, workers compensation payments, unemployment compensation payments, withholding amounts, and/or self- employment taxes if any such payments, amounts, or taxes are required to be paid by law or regulation. 12. SUBCONTRACTORS. Consultant shall not enter into subcontracts for services provided under this Agreement without the express written consent of the HRA. Consultant shall comply with Minnesota Statute § 471.425. Consultant must pay subcontractor for all undisputed services provided by subcontractor within ten days of Consultant’s receipt of payment from HRA. Consultant must pay interest of 1.5 percent per month or any part of a month to subcontractor on any undisputed amount not paid on time to subcontractor. The minimum monthly interest penalty payment for an unpaid balance of $100 or more is $10. 13. CONTROLLING LAW/VENUE. This Agreement shall be governed by and construed in accordance with the laws of the State of Minnesota. In the event of litigation, the exclusive venue shall be in the District Court of the State of Minnesota for Hennepin County 14. MINNESOTA GOVERNMENT DATA PRACTICES ACT. Consultant must comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, as it applies to (1) all data provided by the HRA pursuant to this Agreement, and (2) all data, created, collected, received, stored, used, maintained, or disseminated by Consultant pursuant to this Agreement. Consultant is subject to all the provisions of the Minnesota Government Data Practices Act, including but not limited to the civil remedies of Minnesota Statutes Section 13.08, as if it were a government entity. In the event Consultant receives a request to release data, Consultant must immediately notify HRA. HRA will give Consultant instructions concerning the release of the data to the requesting party before the data is released. Consultant agrees to defend, indemnify, and hold HRA, its officials, officers, agents, employees, and volunteers harmless from any claims resulting from Consultant’s officers’, agents’, HRA’s, partners’, employees’, volunteers’, assignees’ or subcontractors’ unlawful disclosure and/or use of protected data. The terms of this paragraph shall survive the cancellation or termination of this Agreement. 15. COPYRIGHT. Consultant shall defend actions or claims charging infringement of any copyright or software license by reason of the use or adoption of any software, designs, drawings or specifications supplied by it, and it shall hold harmless the HRA from loss or damage resulting therefrom. 16. PATENTED DEVICES, MATERIALS AND PROCESSES. If the Contract requires, or the Consultant desires, the use of any design, devise, material or process covered by letters, patent or copyright, trademark or trade name, the Consultant shall provide for such use by suitable legal agreement with the patentee or owner and a copy of said agreement shall be filed with the HRA. If no such agreement is made or filed as noted, the Consultant shall indemnify and hold harmless the HRA from any and all claims for infringement by reason of the use of any such patented designed, device, material or process, or any trademark or trade name or copyright in connection with the services agreed Professional Service Agreement – HGA 189419v1 7001 York Ave Preliminary Redevelopment Planning Page 4 to be performed under the Contract, and shall indemnify and defend the HRA for any costs, liability, expenses and attorney's fees that result from any such infringement. 17. ASSIGNMENT. Neither party shall assign this Agreement, or any interest arising herein, without the written consent of the other party. 18. WAIVER. Any waiver by either party of a breach of any provisions of this Agreement shall not affect, in any respect, the validity of the remainder of this Agreement. 19. ENTIRE AGREEMENT. The entire agreement of the parties is contained herein. This Agreement supersedes all oral agreements and negotiations between the parties relating to the subject matter hereof as well as any previous agreements presently in effect between the parties relating to the subject matter hereof. Any alterations, amendments, deletions, or waivers of the provisions of this Agreement shall be valid only when expressed in writing and duly signed by the parties, unless otherwise provided herein. 20. TERMINATION. This Agreement may be terminated by the HRA for any reason or for convenience upon written notice to the Consultant. Prior to Public Engagement meeting #1, Victor Pechaty will propose engagement and facilitation tools and techniques to City and County staff for consideration. Based upon which techniques are selected by staff for the Public Engagement meeting, Victor, Mia and Amanda will present the selected tools and techniques at the meetings, and will facilitate conversations and draw- out comments from the attendees. Victor will lead the main conversation and Mia and Amanda will facilitate small group discussions and document the overall input from the community. Minutes and documentation from the meetings can be routed or posted to the community website if desired. Following the two Public Engagement meetings, and a check- in meeting with City and County staff, conceptual site layouts will be developed by Victor, Amanda and Mia in collaboration with civil engineer Kenny Horns. Priorities, key elements and especially community input will be highlighted in the site layouts. Victor and Mia will review the In Follow-up Public Engagement meeting #3, Victor will guide the community through the layouts on in a powerpoint and/ or presentation boards format with assistance from Mia and Amanda. Community input gathered at meeting #3 will be incorporated into the conceptual site layout, and an alternative option may be developed. Redevelopment of this site presents a signature opportunity for a mixed-use development that includes a new and updated Hennepin County Library paired with mixed-use programs that bring the highest and best use to this prominent location. The goals of the current planning effort include the following: 1. Facilitate an interactive public engagement process that invites input, ideas, and vision for site redevelopment from a variety of stakeholders. Project Approach 2. Develop options for mixed-use programming on the site and create site plans and 3/D diagrams illustrating potential site layouts 3. Refine preferred option based on continued public and staff input and provide quantitative program (site area, potential areas for each program use, parking metrics, relevant planning, zoning, and engineering considerations, etc.) 4. Provide final report of findings for inclusion in Development RFP to be issued in Spring, 2017 8 P R O J E C T A P P R O A C H PROJECT APPROACH Visioning Facilitate an interactive public engagement process that invites input, ideas, and vision for site redevelopment from a variety of stakeholders. Stakeholders include, but are not limited to: City staff, community members, and Council representatives from the City of Edina. Staff and leaders from Hennepin County departments and Hennepin County Libraries, City staff, leaders, and community members from the City of Richfield, and representatives from the real estate development community. HGA has extensive experience in providing similar public engagement processes for several Twin Cites metro municipalities and counties. Similar efforts have focused on a variety of program types including: public libraries, community/recreation centers, urban design, parking infrastructure, lakefront redevelopment, and mixed-use facilities. We are able to deploy a variety of tools in a public forum to invite participation and full engagement of stakeholders. Specific tools and techniques to be shared and vetted in the City and County on preparation for public engagement events will be reviewed and selected in consultation with the City and County. Program Options Using information gathered from public engagement forums and City/County staff and leaders, HGA will prepare site and space programs for at least three mixed-use options for the site. Programs will be expressed in quantitative metrics of net and gross square footage, number of stories, associated parking requirements, etc. The program options will evolve concurrently with site test fit studies. HGA also brings prior experience with Hennepin County Libraries and is prepared to work the HCL team to create a general program scope (or adaption of existing program models) to serve as the planning basis for the integration of a new HCL on the site. Potential mixed-use programming, with input from the real estate development community and City/County staff, will be evaluated through the lens of business performance and success. A successful outcome on the 7001 site must consider a best- value blend of uses that draws library patrons and users to each program represented in the development at operational costs that support an overall business pro-forma. Transcending typical two-dimensional site planning, each program and site option will require three dimensional considerations to find the “highest and best use” interconnection of mixed-use programs. This approach acknowledges and supports the notion that successful development on this site depends on a combination of factors. Finding and maximizing program synergies between the new library and adjacent mixed-use programs will be an area of focus. 10 P R O J E C T A P P R O A C H Consensus and Conclusions While each public engagement process is customized to the unique needs of each client, HGA suggests a three-tier model of engagement to insure broad input and listening to all stakeholders while building toward consensus and resolution,. The three tiers are as follows: 1. Input: This tier solicits a broad range of input from all stakeholders. This layer of input invites broad participation and intent listening/documentation on the consultant’s part. The input is collected through community forums and small group meetings with groups of users representing particular departments or interests. 2. Review/Edit/Recommend: HGA tracks all input and seeks to identify areas of commonality and consensus. A summary of input received and trends observed are reported to a “Steering Committee” of staff leaders from the City and County. In this tier, the Steering Committee helps to edit all input into defined program areas and provides direction to the consultant team on program options and overall project scope. The Steering Committee receives and reviews the draft mixed-use programs and site planning/massing studies in preparation for community and stakeholder review.3. Approve/Adopt: As the consultant team and Steering Committee refines site planning/massing options based on a second layer of input from stakeholders, a preferred option emerges that is recommended to a decision making body (Edina City Council and Hennepin County Commissioners) for approval and inclusion into a future development RFP. This process is intended to align with and reinforce the Scope of Services document provided for this project. HGA remains flexible to adjust and customize the details of the Public Engagement and Site Planning process Final Report The Public Engagement and Site Planning process is formatted into a final report insuring that all research, input, design options, and final deliverables are gathered into a single, easily accessible location. 12 P R O P O S E D F E E S Proposed Fees We understand the fundamental and pre-planning nature of the community engagement phase for future development on the 7001 York site. The engagement with the Public from Edina, Richfield and surrounding areas within Hennepin County will be broad, open, honest, and accessible. We present a very approachable team, and understand the importance of drawing out broad participation and encouraging courageous conversation. We provide active listening and present the results from listening back to the community so that participants recognize that they have been heard, and consider themselves part of the development. Our goals are to achieve as much participation as possible from a wide variety of stakeholders with a focus on age, racial, economic and geographic diversity; and that the community acknowledges that their thoughts and ideas have been heard, and know that the future development on the site is rooted in community input – which is a crucial foundation for the success of the future development. The site planning will be fundamental, showing general site planning principals and massing, rather than detailed design, to set the direction for the development proposals.
