PARK BOARD MEETING PROCEDURES
During "Public Hearings," the Chair will ask for public comment after City staff
members make their presentations. If you wish to speak on the topic, you are welcome
to do so as long as your comments are relevant to the discussion. To ensure fairness
to all speakers and to allow the efficient conduct of a public hearing, speakers must
observe the following guidelines:
• Individuals must limit their presentations to three minutes or less. The Chair will
modify presentation times, as deemed necessary.
• Try not to repeat remarks or points of view made by prior speakers and limit
comments to the matter under consideration.
• In order to maintain a comfortable environment for all those in attendance, the use
of signs, clapping, cheering or booing or any other form of verbal or nonverbal
communication is not allowed.
During "Public Comments," the Chair will ask to hear from those in attendance who
would like to speak about something not on the agenda. Individuals must limit their
presentations to three minutes or less and cannot speak to an issue for which a public
hearing was previously held and closed or a matter scheduled for a future hearing.
Individuals should not expect the Park Board to respond to their comments. Instead,
the Park Board might direct the matter to staff or consideration at a future meeting.

A. Lewis Park Building Replacement Proposal — Carolyn Kohrs
Enclosed in this packet is a copy of Carolyn Kohrs' written proposal as requested by staff
and the Park Board. Also enclosed is a complete set of all written community input
received since this proposal was first brought to the Park Board (some of which has
already been distributed in the past). Park Board passed the following motion at the
November 2007 Park Board meeting:

THIS EVENING AND HAVE THE MATTER ON THE JANUARY 8, 2008 PARK
BOARD AGENDA FOR FURTHER CONSIDERATION.
In summary, Carolyn's document proposes to donate $500,000 to the City of Edina to
replace the existing warming house at Lewis Park; however, the new building must "have
quality finishes, a variety of comfortable indoor and outdoor seating arrangements, skate
donning areas, lavatories and a kitchen and serving counter suitable for serving
acceptable concessions." Carolyn is suggesting that she legally form and act as Chair of
a non-profit corporation called Community Partners Group to serve as the entity by
which building contracts and agreements are made with the City of Edina. Carolyn is
also suggesting that she operate and manage the facility operations either contractually
(similar to Hockey Moms at Braemar Arena) or by becoming a City employee. She is
also suggesting that the City agree to a 10 -year contract/agreement whereby all net profits
from the concessions operations go towards paying back the $500,000 donation.
I applaud Ms. Kohrs for offering such an incredibly generous donation and for trying to
do something special for the community with good intentions. However, in the public
sector, we must be mindful of how this generous donation will affect the neighboring
residents, businesses, the park itself, park users, the entire community as a whole,
whether it fits the mission of the park and what type of precedence and public policy that
it sets for future proposals. Is it really a priority and is it in the best interest of the
community?
Unfortunately, I cannot support this generous offer for a number of reasons. If the
proposal was to donate substantial dollars to build a nicer warming house, I would
embrace the offer. My recommendation to the Park Board has not changed on this
proposal. The concept of replacing the existing warming house at Lewis Park with a high
quality furnished building with kitchen and concessions stand is, in my view, not a
priority and particularly should not be built at Lewis Park with or without donated
dollars. There are other park locations where a concessions stand would be more
appropriate, such as, Edinborough Park. I still view this proposal as a duplication of
service with what the School District has already accomplished at the High School and
this proposal also competes with local businesses, including Braemar Golf Course. And
as I mentioned before, our 2006 Needs Assessment Survey process did not identify this
park amenity as a community need or priority, and especially at this park.
To compare the volume of concessions sales to another Edina outdoor park skating area,
the only outdoor skating venue in our park system that has a concessions stand is
Centennial Lakes Park. Centennial Lakes Park Manager Tom Shirley provided us with
the following information regarding the gross receipts for their concessions stand and
rentals from the past outdoor skating season:

First full coat of ice was December 1, 2006. On December 5, 2006, we had 5-6"
of clear ice and no snow cover. On December 7, 2006, we had 7" of good ice on
the center pond. On December 9th it got warm — near 50, and it stayed that way
until January. There were periods of rain and thundershowers in mid-December.
Centennial Lakes Park outdoor skating finally opened on January 12, 2007 with
7" of ice, but only 3" under big bridges. It was very cold from January 10 -19th
All three ponds opened on the 17th of January. We were flooding on the central
pond but the south pond and channels were a bit rough. North pond was
extremely bumpy. We use the outdoor ice resurfacing Zamboni machine for the
first time on January 19th with 9 %2" of ice. We had bitter cold the first week of
February and closed early some nights. We were down to central pond only on
February 24th. There was a major snowstorm on the night of the 28th; 16" of wet
snow collapsed the ice, which rendered us done for the season.

Tom Shirley estimates that Centennial Lakes attracts over 30,000 skaters per season,
which is approximately twice the number of visitors to Lewis Park in an entire year.
Centennial Lakes Park concessions entire skating season takes in only $11,377 gross
(before product and labor expenses). The skate and sled rentals far exceed concessions
revenues. Centennial Lakes Park is one of our most heavily used parks year around;
however, even with the significant numbers of park visitors, we are unable to afford to
keep the concessions stand open year around. The concessions operations are provided
more for a service to park visitors than a significant revenue stream. Even though 2006-
2007 was a fairly short outdoor skating season, we still get a general idea of the scale of
concessions business at our busiest outdoor skating park.

I find it difficult to support the concept of providing a full-service concessions stand at
Lewis Park. A larger more attractive park shelter building would be a wonderful park
improvement; however, I do not believe that a full-service concessions stand and kitchen
at that location is an appropriate or desired amenity for that particular park.
PROCESS - At this point, I believe that the Park Board should act either in favor or not
in favor of this proposal in concept. If the Park Board supports this proposal in concept,
the next step in the process should then be for the City Council to act on the Park Board's
recommendation. If the City Council believes that the proposal is in the best interests of
the community, then the Council will decide what should be the next step in the process.
Therefore, I encourage the Park Board to act on the proposal in concept, which does not
necessarily mean approving of all details as currently proposed in writing by Carolyn
Kohrs.
Formal Park Board action is requested on this agenda item.
III. PUBLIC COMMENT
This is the opportunity for the public to give no more than 3 minutes of comments (each
speaker) to the Park Board.
IV. UPDATES FROM STAFF
Staff will give the Park Board verbal updates on status of current events (projects,
programs, etc.).

II. NEW BUSINESS
A. Bike Edina Taskforce Presentation — Kirk Johnson - Mr. Finsness introduced Kirk
Johnson who has been on the Bike Edina Task Force since its inception. Mr. Johnson
pointed out that the Bike Edina Taskforce efforts in 2008 will be to work with
different city groups and partner with the citizens so that they can work on various
implementation projects that would be approved as a result of this plan. Mr. Johnson
gave an overview presentation that goes along with the submitted plan.
Mr. Damman asked what are the issues with the railroad routes? Mr. Johnson replied
there is a lot of interest in having corridors put in just like other communities have
been able to do. He noted that a subset of the Bike Edina Taskforce has been working
with the City and with the Three Rivers Park District in discussing what they might
possibly be able to do and when.
Mr. Keprios pointed out that he serves on the Three Rivers Park District's CP Rail
taskforce and noted that Three Rivers has hired a consultant to do a feasibility study
which will visit the entire north/south CP Rail corridor.
Mr. Finsness asked Mr. Johnson what he feels are the biggest stumbling blocks
coming up in the future for the city with respect to the bicycle plan implementation.
Mr. Johnson replied that he thinks it's just the ability to get the different groups
together and work efficiently to get the proper planning in place. He noted that by
working together in the planning they will be able to save money as well as avoid
rework later. Therefore, coordinating and working efficiently together will probably
be the biggest challenge. He commented that based on the last few months he has
seen such great interest that he is very optimistic.
Mr. Merriam asked if any of this will come down to budget and having monies
available because he knows that if you go out and look for them there are some
substantial dollars available. Mr. Johnson replied that is correct there is a lot of
federal money out there to help fund efforts like this for environmental, health and
other reasons. Therefore, as they get more into the implementation aspects that is
something they will definitely look at tapping into.
Mr. Keprios thanked Mr. Johnson for all of his volunteer help as well as the
co--Inittee members, He noted.they rl;rl�=d an outstanding jnb as well as it's a very
comprehensive plan. Mr. Keprios stated that he also appreciates the language that was
put in about bike racks being recommended. Mr. Keprios added that they will now
plan to incorporate them into the CIP to provide even more trails in the parks and
make parks more bicycle friendly. He noted that based on the 2006 Needs
Assessment Survey results and the Bike Edina Taskforce results, the CIP will be
adjusted to address those identified needs for more bicycle and walking trails and
amenities.
Mr. Finsness asked Mr. Johnson if he thinks it will take a consorted effort to get
business owners to put in bike racks. He noted that currently they are non-existent.
Mr. Johnson replied that one parking spot for an automobile can accommodate 14
bicycles. It's a good trade-off.
B. Non -Resident Patron Card Proposal for Braemar Golf Course — John Valliere — John
Valliere, Manager of Braemar Golf Course, informed the Park Board that he would
like their blessing for a proposal to permit the sale of non-resident patron cards,
starting in 2008, for people who work full-time in Edina. He proposed that the non-
resident patron fee be set at $90.00 for 2008. He added that for 2008 the resident
patron card fee is $70.00. Attached is Mr. Valliere's proposal.

Ray O'Connell SECONDED THE MOTION.
Ms. Presthus asked what the policy is of the surrounding neighborhoods and golf
courses. Mr. Valliere replied that some of the other golf courses do have a policy
while others don't. Mr. Valliere gave some examples.
Mr. Finsness asked Mr. Valliere if he has any expectation of how non-resident patron
cards may be sold based on inquiries. Mr. Valliere replied that he thinks it would not
be overwhelming the first year, however, they may want to consider setting a limit
because it is an unknown.
Mr. Klus stated to Mr. Valliere that he would hate to see him limit himself not
knowing what's going to happen because he would agree that for the first year it may
take time for people to learn that this is something that is even offered. He stated that
perhaps during the second year more businesses might be willing to come out. Mr.
Klus commented that a lot of it will depend on how it is promoted and marketed in
the community. He asked Mr. Valliere how he plans to promote and market it. Mr.
Valliere replied they won't do anything huge but will probably advertise it in the
papers as well as have something on the golf channel. Mr. Valliere indicated they do
have a business plan that they are going to adhere to as well as there are certain things
within the golfing community that they will use to promote it.

Mr. O'Connell commented that he thinks Mr. Valliere is right to do the analysis at the
end of 2008 and report back what happens as far as participation. However, they will
really want to see what the factors are in 2009 and 2010 once the word is out more.
Ms. Presthus suggested to Mr. Valliere that through his marketing he should also use
the Chamber of Commerce especially since he will be working with businesses.
Mr. Keprios clarified to the Park Board that the non-resident patron would have the
same privilege of reservations as the resident patron. There will not be a one -day
advantage for resident patrons, which was considered previously.
Mr. Meyer asked Mr. Valliere if he has any concerns about the residents being more
competitive to get tee times because now the non-resident patrons will be able to
reserve at the same time. Mr. Valliere replied that they thought about that long and
hard and what they have found is that most of their residents are moving ahead in
their normal securing of tee -times, they tend to act and therefore he doesn't think they
are going to be locked out. Mr. Valliere stated that if it seems they are starting to get
a lot of resistance then he thinks they should back away and leave an extra day for the
resident patron.
Mr. Finsness noted that the motion on the table is to allow non-resident patron cards
for business people that work in Edina but don't live in Edina.
MOTION CARRIED UNANIMOUSLY.
III. UPDATES FROM STAFF
A. Board and Commission Policies - Mr. Keprios went over the e-mail from Gordon
Hughes regarding the new Board and Commission policies.
B. Braemar Maintenance Building — Mr. Keprios informed the Park Board that
construction has begun on the Braemar Maintenance building.
C. Garden Park Pathway — Mr. Keprios informed the Park Board that they are hoping to
open bids in February for the Garden Park pathway.
IV. PARK BOARD COMMENT
Mr. O'Connell noted that the suggestion he will present to the Park Board was
precipitated by action items on our agenda which were asking for difficult decisions with
muddled and jumbled information. Not only that, they were complex and sometimes
emotional.
The other part of the proposal deals with the fact we have a wonderful park system. This
was no accident. It is the result of an enlightened leadership over the years. Our City
Council, City Administration and Park Board members have done a wonderful job
through the years. One I would single out is William Lewis who served the Park Board
from 1949 to 1972, which means he served for 23 years. Back then there were no term
limits. He has a park named after him — Lewis Park.
With the above in mind I would like to issue a statement that criteria should be
established by this board to provide clear and definitive standards to protect our precious
parks against commercial intrusion. He stated that he would like for this to be part of the
record and he will provide Janet a copy.

The Lewis Park Building Replacement —Proposed Partnership Responsibilities
An Opportunity to Enhance Our Community and Our Enjoyment of Lewis Park NOW!
Fact: The current Lewis Park warming house building is old, unattractive, and
underutilized.
Fact: There are no current Municipal plans or allocated funding to replace this park
building.
Fact: Lewis Park is visited by more than 16,500 people May through October just for
organized sport use. This number does not include year round general park use (walkers,
bikers, tennis, playground, etc.) or winter use by hockey and recreational skaters is
(Lewis Park is reportedly the busiest outdoor hockey rink in Edina). (Ed McHolda'to
provide for estimate of winter use)
The vision for the Lewis Park Warming House is to transform the existing building into a
multi -season park building that provides a comfortable and hospitable environment,
where people in the community can relax and connect with each other in a non-
commercial setting. A Public /Private partnership between the City of Edina and a Group
of Local Citizens ("Community Partners") allows these improvements to be made now
without tax increase or referendum funding.
Under this Proposal, Community Partners would provide seed capital for building
construction and provide contractual commitment to manage non-commercial operations
of on-site concessions. The Proposal is currently limited to replacing the existing
warming house with the addition of a concessions area. Ultimate plans for additional
amenities such as building capacity suitable for ice resurfacing equipment and/or
refrigerated ice capabilities should be included in the design plans. Funding options for
accommodating these additional amenities should also be understood. Details of the
existing proposal follow:
Proposed Public/Private Partnership Responsibilities
Community Partners Responsibilities
Work with City of Edina to construct Contractual Agreement(s) acceptable to both
parties.
Legally incorporate the local Community Partners Group into a non-profit entity for all
formal contractual dealings with the City of Edina; the Chairperson of this organization
will be Carolyn Kohrs.
Provide contractual Commitment and Time for Carolyn Kohrs to act as Citizen Project
Manager/Liaison to Edina Park Department to assist the City of Edina in all stages of the

project from planning, design, construction and operations. Operations and management
could be handled on a contractual basis similar what has been done at Braemar or as a
direct employee of the City.
Provide $500,000. seed capital of allocated private, non-commercial funds to build and
furnish the new warming house building at Lewis Park and initiate and operate
concessions within the park building (The $500,000 is already raised and in a bank
account awaiting user for this project). The seed capital is provided under the following
stipulations:
• The construction project should be completed before August of 2009.
• The seed capital money can only be used for the, construction (including building
foundation) and furnishing of the new Lewis Park Building and concession
operations.
• The new building should have a concessions area and should operate in a manner
that creates a revenue stream with the first goal of covering operating costs and
maintenance and second goal of repaying the principal $500,000. seed capital
• The building should be operated year round and be available for use within
normal park hours with the goal of serving existing community use needs. The
building could additionally be rented for events (such as private functions, parties
or meetings).
• The new building should have quality finishes, a variety of comfortable indoor
and outdoor seating arrangements, skate donning areas, lavatories and a kitchen
and serving counter suitable for serving acceptable concessions.
• The Community Partners should have up to 10 years to operate the concessions
areas area under a Use Agreement (or other contractual vehicle). If the seed
capital is recouped prior to 10 years, the Use Agreement would be terminated in
the favor of the City. Future use agreements would be at the discretion of the
City.
City of Edina Responsibilities
Work with Community Partners to construct Contractual Agreement (s) acceptable to
both parties.
Provide staff resources for, public process, ultimate design, bidding, letting and
construction of the new building and work diligently to assist the Community Partners to
make this project a success.

Advise Community Partners of necessary City permits and licenses required for
constructing and operating the park building with concessions, and provide city permits
and licenses at nominal cost.
Due to the special circumstances by which the City receives the new warming house
building, provide use of building area supporting concessions at a nominal rate for period
of the 10 years.
Contribute municipal funding in the amount already budgeted for upkeep and continue to
be responsible for all park maintenance responsibilities (snow plowing, raking, garbage
removal, etc.). We do not envision any increase in city service needs from current levels.
Other Public/Private Partnership Considerations
From the onset, the new building would be operated as a park building with concessions
and would be the owned by the City of Edina.
If Ms. Kohrs is unable to fulfill contractual obligations associated with concession
management at the Lewis Park Building, the legal non-profit entity has the option of
replacing Ms. Kohrs with an alternate manager in order to fulfill the stated project goals
or to terminate the concession operations without recouping seed capital.
If the new park building is not embraced by the community and becomes a financial
failure in spite of a variety of business attempts to achieve success, within 10 years or
other specified time frame designated in the Contract, the Use Agreement would become
null and void. The City would be under no financial obligation to purchase or reimburse
the unrecouped seed capital to the Community Partners or under any obligation to
continue the initial vision. The City could continue using the building simply as a
warming house or any other use, revenue generating or non -revenue generating, at their
discretion.
Closing Statements
It is the goal of the Community Partners to make the Lewis Park Building Replacement
Project Vision into a reality. As partners with the City of Edina and our community, we
anticipate working closely with the City and community to complete the plans and to
finalize this proposal.

Hello,
My name is Casandra Mihalchick. My husband's name is Mark A. Litman. We live at 7227 Lewis Ridge
Parkway, Edina, Mn. 55439. We live in the Lewis Ridge Townhomes that are immediately north of Lewis
Ridge Park.
We are opposed to the tearing down of the warming house and replacing it with the proposed structure for
many reasons including but not limited to:
1. It would increase noise, particularly if you allowed music to be piped outside on the terrace. Our homes
would no longer have the peace and quiet that they do (the soccer and football games at night are tolerable
because the games end early and are not annoying during the day).
2. Parking is already limited in the area when there are any soccer or football games, and the increased
traffic would make it even more difficult for us to enter our driveway (Lewis Ridge).
3. We feel this is an unnecessary duplication of services that is already being addressed. Coffee houses
and meeting places are everywhere (the High School has a beautiful new area run by DECA, the business
students, to address high schoolers; there is a teen cafe at Southview Middle School; the Senior Center has
meeting rooms and coffee for seniors; the old Edina East high school, now called the Edina Community Center,
has meeting rooms, refreshments, the libraries provide meeting rooms). There are also too many commercial
coffee houses in the community already.
4. The running of this business would require the funding of city employees to staff the Center and
increased police presence to patrol and prevent break-ins and vandalism. This, in our opinion, would be a
waste of public funds and our tax dollars when we do not want this service.

4. While it is a nice gesture to offer to pay for this construction, why not use the money to put more park
benches for park users to sit on at Lewis Park, build a Nature Center at Bredesen Park in the Wildlife area,
repair the broken fences keeping the deer in at Bredesen Park, etc. There are so many areas in our city that
could use the money being offered where immediate residents would not be so adversely affected.
5. If the donor wants a community center/coffee house there is a perfect location for one underneath
Cucumbers Restaurant at Centennial Lakes Park. It was previously a restaurant and has been vacant for over
a year. It is already zoned commercial and has restaurant facilities, an outdoor eating area, etc.

To: the Mayor of Edina, City Council, City Manager, Finance Manager, and Park Board:
My name is Casandra Mihalchick and I serve as President of the Lewis Park Neighborhood Association.
We are a consortium of townhome associations and condominium associations, neighborhood
businesses and individuals. We all are opposed to the proposal to tear down the warming house at
Lewis Park and to replace it with a structure serving coffee, drinks, snacks or food along side with a
smaller warming house. We do acknowledge that the warming house may need replacement or
renovation. We do not believe that the current footprint of the warming house is large enough to
accommodate a warming house, Zamboni garage and a "gathering space" where any meetings or
gatherings beyond a few people could take place without the loss of green space, the ice skating rink, or
the hockey rink which we oppose.
This Association has good reason to be opposed to a project that on first blush appears to be a donation
of a "free building" to the City. We oppose any private investment or interest on public land, regardless
of its characterization as a loan with a payback clause, gift, or donation of a building. We do not believe
it serves the community to commercialize public park land. We are concerned about the potential loss
of any green space. We do not believe the city should be involved in indirectly assisting (by the
temporary grant of the use of public land) a business that competes with the loyal, established, tax-
paying businesses at 701h and Cahill. We are concerned about the design of the building blending in with
the high density residences of the neighborhood and being unobtrusive.
There are troublesome issues that are not immediately apparent in the proposal presented to the Park
Board that we believe are causes of concern.
1. What exactly is this "gift of a building" or "5% loan" and what are the conditions? Is it a private
investment in a building on public land, thereby constituting the taking (even though temporary)
of public property? Would the donor retain any rights until the investment, donation or a return
on investment was recouped? What are the proposed forfeiture, or default terms? Would the
private individuals post a performance bond, give bank references, to assure performance
before any time and resources of the City are spent? Would they guarantee covering 100% of
the construction costs, reimburse developmental costs to the City, and guarantee a net
operating profit for 15 years so the City/taxpayers do not have to subsidize the project?
2. We do not believe the size of the proposed coffee house/gathering spot would be sufficient to
allow it to ever be financially independent to support the payment of full time staff, overhead,
supplies, maintenance, etc. This would become a burden to the City, and ultimately the
taxpayers would have to pay for the running of this business venture. The location is not
appropriate for another coffee shop and we feel it would detract from the character of the
Lewis Park. Just as importantly, it would take business away from the privately owned coffee
shops and restaurants at 70th and Cahill that have worked hard to establish themselves.

3. There are already sufficient gathering spots and coffee shops around our City, both commercial
stores, such as Caribou Coffee and Starbucks; and public facilities in the schools, libraries,
community center, Senior Center, etc.
4. We are not opposed to the renovation or replacement of the warming house, and do not resist
change or improvement in our neighborhood or Park. To state such is a mischaracterization of
our concern.
5. We do support the keeping of public land separate from "private investment," even in the form
of a "donation of a building" if any conditions are attached such as the recouping of
construction costs, a built in return on investment or control over the design are imposed.

d. We believe that local businesses would be detrimentally affected by
competition from the venture.

Please share this email with all members of the Park Board, City Council, the Mayor, the City Manager, and Assistant City

This is Casandra Mihalchick, President of Lewis Park Neighborhood Association. We have reviewed the most recent proposal
dated December 17, 2007, for the private investment in public land at Lewis Park although it is now being clocked in terms of
"Community Partners" and "nonprofit". We still object to the commercialization of park land even if a new warming
house/zamboni garage is tied to it if food/drink are served to pay for it and if there is any required involvement or
participation with non-public interests. It is the private investment in public land and commercialization that is troublesome.
Regardless of whether you call it concessions or a coffee shop, it is still the same thing, public land being used by a
private venture (whether it is organized as a non-profit or not is irrelevant, it is still private investment using public land).
We and the businesses at 70th and Cahill do not object to a new warming house, but we collectively do object to a warming
house if it is financed by the selling of drinks or food or "concessions" that would compete with the businesses at 70th
and Cahill.
If "Community Partners" wants to donate a new warming house, great; but they should not then be entitled to any recoupment
of their investment, participation rights,or conditions or management contracts tied to that donation, otherwise it is just a private
business venture with conditions. If this building evolves into something more than a replacement warming house, significant
input should be had by our Neighborhood Association representing the people most impacted, those residents
surrounding Lewis Park.
Perhaps to avoid this persistent evolution of predatory proposals to use private park land tied with private/ commercial
-ests, a Policy should be established by the City, or Park Board, to prevent these from taking up staff, Park Board, and City
icil time.

How can I get email addresses of Park Board members? Could you please forward these
comments to them?
The more I ponder the proposal presented at the Park Board meeting this week regarding the
warming house, the more it sounds weak financially, and the more I think the City will end up
footing the cost for operating it.
Do you really think this young, idealistic, wealthy, mother with small children is going to work full
time at a coffee shop, not get bored, not stay home to take care of her sick kids, go on vacation,
and work 12 hour days seven days a week for five years? In the projections she carried her cost
to run it at zero as she stated she would volunteer her services. Would she be there all
alone? Do all of the ordering, restocking, cleaning? This is pie -in -the -sky financial planning.
Also, using as a projection of income as she proposed Dunn Bros., Caribou, or any small
complete cafe is unrealistic for the size and scope of the food services that could be offered in
this space. Remember even the attempts to have larger cafes at Edinborough have repeatedly
failed even with their captive audience in the hotel, condos, daily play groups with young mothers,
the office tower and adults working out.
Will she and her "investment group" (which should be disclosed) post a bond to assure they can
and will pay for construction costs and carry for five years (remember to put in an inflater in for
cost overruns, it always happens in construction, generally they recommend 25-50%)? Will they
demonstrate financial viablility via a bank letter, LOC, or bond before our city spends money and
time studying this and investigating soil, zoning, designs, etc.?
Will they guarantee a net positive income stream (income minus expenses) via a performance
bond for five years? Remember to include all staff salaries, increased security, supplies,
maintenance, liability insurance, soft costs, etc. Or will the City get burdened with this expense?
Will she give up final design control to city? Don't we just need a new warming house? Maybe
with concessions? Shouldn't warming house and possibly contemplated zamboni garage be
larger than architectual drawings and coffee shop be smaller? Can we restrict hours so it does
not keep residents awake? Can we prohibit outside music so we don't have to hear it in our
homes? As discussed at the meeting by the pro -group, it is unrealistic to even think this site
could function as a southwest community center and be available for rental and accommodate
"small meetings, book groups", etc., when even larger shops such as Caribou and Starbucks can
not accommodate these.
People are getting all excited and designing and dreaming before anyone with experience really
puts a financial analysis of the viability of this idea to test. Yes, the warming house is old but
don't we just need a new warming house with concessions, and some new park benches? If Ms.
Kors wants to donate some money, great. Maybe it could be better utilized at the Edina
Foundation, Edinborough Park for a coffee shop, a nature center at Bredesen, repave Bredensen
walking paths, put in a coffee shop at Centennial Lakes, add a coffee shop at Breamar park
where there is parking, or a shop at the park near Creek Valley School where they can let their
kids play on the equipment.
The website developed by the pro -group that surveys and asks for input is skewed for positive
comments and is not a good communication tool nor gatherer of public sentiment of the affected
homes and local businesses. People immediately affected by this proposal should be contacted
directly by the city. Do not assume they have computers, etc. and have been reached.

This is Casandra Mihalchick, President of Lewis Ridge Townhomes. At the meeting, everyone
that spoke in favor of this idea of the proposed coffee shop/community center/warming house:
a. Had young children, still had idealistic views of teen behavior, and/or
b. Did not live immediately around Lewis Ridge Park.
There are four separate, high intensity residential developments that abut the Park that
would be severely affected by the noise, increased traffic, congestion, parking, etc. Each of these
properties independently expressed opposition to the proposal. Those are:
Lewis Ridge Condos,
Lewis Ridge Townhomes,
Dewey Hill Condos,
Condos with French Name on Cahill LeChatiger or something like that.
Besides the issues you and others raised about zoning, soil borings, footings, footprint, floor plan,
was this in the scope of the larger City plan for revitilazation of Cahill area, keeping green space
to maximum at Park, etc., the financial side of this was nebulous (financing during construction
phase, ownership structure, pay back to donor schedule, interest, property tax status, title
transfer, payroll costs, supplies, insurance costs for fire, liability, etc., maintenance and clean-up
costs, supervision and hiring of staff (that sweet, nice blonde woman is not going to be able to
control older teenagers no matter her good intentions). A presentation of financial projections
should be realistic this is not going to produce the revenue of a Starbucks nor a Dunn Bros., nor a
Caribou, the costs to operate this (even if building is donated) are going to exceed the income
stream.
Will the donor underwrite and guarantee that the business will generate a certain minimum
income to offset all soft costs for a period of five years? Or will the city be asked to assume the
financial risk?
If one reviews issues of our newspaper, the Edina Current and police reports, businesses (i.e.,
BI) on Cahill are repetitive targets for break-ins, theft of computers and laptops are always on the
list. This proposed, cute, little house is going to be targeted for its cash register, laptops, etc., as
it will be out there isolated. Who will pay for repairs due to vandalism and theft?
I have raised three teenagers, everyone thinks all kids are great when they are young, but when
they enter those dark teen years of exploration, breaking away, testing limits and rules, another
side can emerge. Teens, when they are in the group mode, are not influenced by having seniors
nor families co -mingling with them. They need structure and heavy, strong adult supervision to
stay on a positive path.
Lewis Ridge Park (check with your drug officers) has been a historic drug exchange drop for
years. It has a clear 360 view and you can see police cars, etc. so it is an ideal spot to buy and
sell drugs. This activity continues and a coffee shop is only going to give those involved a cover
of why they are there. More people will not deter this, think of Hennepin Avenue, there is no
correlation with more people and fewer drugs.
I am concerned that the Park Board is mesmerized by "free money", and not thinking about why
would we need another coffee shop in Edina, if this even makes sense. Please help them view
this objectively.

COMMENTS ON BREAK-EVEN ANALYSIS:
This is an accounting tool to evaluate how bad things can get before you lose money
1. The figures are taken from the proponent's calculations given to the Park Board.
2. The figures do not include 5% interest on the $500,000 `seed' money to finance
the structure. IF, $53,000 annual profit is correct, it would take 15 years to repay
the investors' loan.
3. Variable costs are coffee and food of $1.12 per customer. Normally labor would
be a part of the variable costs, but since this is a community center, this staff is
scheduled to be on duty whether serving coffee or just the community.
4. Proponent estimates 325 customers per day half of the year and 225 per day
during the winter — for 99,000 customers per year. Anything less than 74,000
customers per year would result in a LOSS. Customers at $3.20 sales each are
the key figure and since this is not gourmet coffee, it may be hard to achieve.
5. Proponent would probably form a LLC to manage the facility and own the
property, therefore depreciation on the building (not shown in her figures) could
produce a tax loss on the investors' individual tax returns — to their advantage.
6. These comments emphasize the need for a "complete" business plan, not just the
financial projections provided the Park Board at the initial presentation. A
complete plan would disclose the type of business entity envisioned, range of
services planned, City envolvement, any assumptions made, etc.
For a comparison, Eden Prairie's Dunn Bros. with $360,000 sales, a larger historic
building, no building costs except $18,000/year rent and a name brand coffee, is just
breaking even. David Lindahl, E.P. Economic Development Director, could shed
additional light on the one year extension given the Dunn Bros. operation at the E.P.
Council meeting of October 17, 2007. I have not been able to reach the Dunn Bros.
owner, Ann Shuster, to get her customer count, degree of E.P. support or costs borne by
the city due to the historic nature of the Smith Douglas More house. Edina city
officials might be able to get more E.P. detail from their contacts than I have been able
to achieve.
I have attached a Lewis Park break-even analysis, using the proponent's figures, for
your further study. Like all new businesses, the elusive figure is the `real' customers
that will use the facility.
I have also attached some comments and pictures of the Eden Prairie Dunn Bros. coffee
house for anyone who has not seen the facility.
On Nov. 26, 20071 I sent some comments to be placed in the next Park Board and City
Council packets. As background, I am a CPA, was the Chief Financial Office of
Norwest Bank Minneapolis and owned a small consulting business consulting. For the
last 12 years I have counseled small business through SCORE, a resource partner with
the SBA. SCORE is a non-profit organization of primarily retired persons which offers
free counseling for start-up companies or struggling entrepreneurs. Financial
projections are always a key part of the SCORE counseling challenge.

Projected Financial Viability
I am a Lewis Ridge condo owner whose unit overlooks Lewis Park. I am opposed to
the project based upon the potential taxpayer exposure due to the questionable financial
viability. I do not have the complete data provided to the Edina Park Board, but do have
Year 3 of Carolyn Kohrs' projections from which these comments are made:
1. Starting point is proponent's projection of profit for
year 3. This will change from year to year — use as a base $535004
2. A private loan of $500,000 is proposed at 5%. A figure
should be deducted for the interest. A loan amortization
schedule would provide an exact amount but use for now -2500
3. They propose wireless internet access - so add say $55/month - 660
4. They show repairs of only $2,400 per year on a building of this
size. Seems too conservative. Based upon my private home
& condo experience 5% of gross might be more accurate.
This covers security systems, interior/exterior paint -repair,
and HVAC equipment. Add -1000
5. Normal costs a for-profit business would include -
snow plowing, landscaping, janitorial, and real estate taxes.
Is the proponent assuming the city will provide this free? -
Cash gain(loss) net as this point $17,344
6. Any building will deteriorate so a factor for depreciation
should be shown. The proponent will probably form a LLC
entity and gain a tax write off of the building. A 39 year
life (IRS guidelines) for a straight-line write off would be -12,500
LLC tax gain(loss) at this point $ 4,844
This small profit could be wiped out by even a small error in projected daily customers!
If the industry average of 60% gross profit versus 65% was used, this would reduce the
profit -$15,000 to a loss of -$10,000. The City should look at a best case, worst case
and reasonable case projections. Is the City ready to go into the coffee business?
Without some City guarantee or City assumption of normal operating expenses, it will
take between 17 years (proponent's figures less interest) or 29 years (my figures above)
to repay the loan. The 5% interest rate compares to a 4.74% municipal rate on
November 17, 2007. What motivation is there for the investors to take this operational
and financial risk if the terms they will negotiate do not rely on a City bale -out?

I live in Lewis Ridge Condominium which borders Lewis Park on the north. My
avocation as a SCORE member for eleven years is to counsel new start-up companies.
Most would be entrepreneurs do not know where to start so we suggest a Business Plan
which can be prepared free at the SBA sponsored Business Planning Center, 2324
University Ave. W, St. Paul. Business Plan Pro is the service I used for my comments.
The proponent of the warming house/community center at Lewis Park is very enthused,
but I am not aware that any specific financial projections have been made except a claim
of $50,000 profit per year. As our representatives, you know it takes facts to turn an
idea into reality. I researched two coffee shops whose figures I submit for your
attention as follows: One was in an owned facility — the other in leased space,
1. Both lost money the first year - $27,680 and $28,872
2. Both used a facility of 2300 + square feet, twice the current warming house!
3. Monthly breakeven volume (to cover coffee and staff) was over 22,000 cups
4. The breakeven point (revenue less direct costs) was over $40,000
5. The gross profit margin for both was 40% which is then available to pay other
costs such as depreciation, utilities, insurance, interest on the investment
($25,000 if $500,000 of private investment is made), etc. The proponent states
she intends to provide her time free — but a realistic projection should provide
for staffmg costs. She also expects the city to provide free land, but the
repairs and depreciation on the capital investment would still exist.
A complete business plan would also cover many other specifics of the proposed
business. I have attached a typical outline for you to use in evaluating this proposal.
The library has other statistics available under SIC code 5812. The city has many
skilled staff to assist in assessing the validity of any net profit statement, but, I would be
glad to assist in any way they felt appropriate.
As a long time 30 year resident of Edina I would not like to see the city portion, 21%, of
my real estate taxes increase due to having to assume operation of this proposal. I am
personally opposed to using public lands for private purposes which would compete
with nearby businesses. The Eden Prairie experience with Dunn Bros. Coffee and the
failed food facility in Edinborough Park suggest any profits are elusive.

The Board will review once again the proposal for a redevelopment of the Lewis Park warming
house into a combination warming house/coffe shop/community center. At the last meeting the
proponents made some unsubstantiated claims for net profits from their private venture.

On November 26, 1 sent a two page letter for insertion into the Park Board's packet concerning the proposed Lewis Park
Coffee House/Community Center. Since then I have had an opportunity to analyze some financial projections made by the
proponent, Carolyn Kohrs, and to visit the coffee houses in both Eden Prairie and Hopkins. This information is for you to use
as appropriate with the Park Board and insert also into the packet if you think it adds to the factual data on which they will act.
My primary concern is the financial viability of Lewis Park! The Eden Prairie experience after investing $900,000 of city
money since 1981 does not look promising for Edina. The Eden Prairie building is a very homey venue for coffee and small
community center. E.P. had to reduce the rent from $66,000 to $18,000 per year to keep it open one more year under new
ownership. Every customer who stayed during my visit was using a computer on the free internet access. Other customers
came and went. My comments and pictures are for the benefit of anyone who has not been to this facility. You can probably
get more information from your contacts in Eden Prairie.
The Hopkins coffee shop, called The Depot, is also unique. It however does not lend any basis for financial comparisons. It
is run by a non-profit group, many supplies are donated by Hopkins businesses and the labor is part time students who
donate much of their time. This facility is also internet oriented plus has a 'teen -young adult' emphasis. I have pictures and
comments also of this facility available for you if they would add anything.
I know time may be limited for you and I would be happy to provide additional analysis of any more specific financial
projections that the propronents submit. We have lived in Edina for forty years - twenty of them facing Lewis Park. Obviously
we use the park and value its green areas, park benches to soak up the sun and recreational facilities.

The Board of Directors of the Lewis Ridge Condominium Association wants to express
its opposition to the proposal to replace the present warming house at Lewis Park with a
Community Center Building that includes a snack bar/coffee shop.
Our condominium building, which was completed and occupied in 1985, has coexisted
with Lewis Park for the past 22 years on a very positive and satisfactory basis. In
operating Lewis Park, the Edina Park and Recreation Department provides soccer fields
(which are also used for football on a limited basis), a playground for young children,
walking paths, two tennis courts, and in the winter two skating rinks — one for hockey and
one for open skating. When in 2002 the soccer fields went thru their major upgrading,
Jerry Brennan, Lewis Ridge's Condominium Association's President at that time met
with Ed MacHolda of the Park and Recreation Staff to discuss several of our concerns
(principally congregating of large crowds and parking on our private drive). Mr.
MacHolda assured Mr. Brennan that the Staff also wanted to limit any excessive
congregating and to aid in that effort would not provide any amenities such as additional
bleachers or rest rooms. As far as parking on our private drive is concerned, the Staff and
those involved in the soccer program have done well in policing this effort and it is a
non -issue at present.
The present proposal to build a Community Center building, including food service, at
Lewis Park significantly changes the nature of the Park and obviously raises a number of
issues for us. These include size and design of any new building(s), congregating of large
numbers of people, unsupervised activity, noise, and traffic congestion.
In addition to the impact that such a facility would have on Lewis Ridge residents, there
are several issues that we believe should be of concern for all citizens of Edina. There are
two basic concepts in this proposal. First is the concept that a Community Center is
needed for this neighborhood and second that such a Center should include food service.
We summarize our thoughts regarding these two concepts as follows:
Community Center
• Edina currently has a very adequate, well managed, and well used Senior Center
established by the Park Board and managed by the Park and Recreation
Department. Membership is available for all Edina residents age 55 and older and
costs are minimal.
• Park and Recreation provides a wide variety of activities for all ages at the city's
parks including the golf course facilities. Regarding the latter, a particularly
extensive teaching program is provided for youth of all ages.

• The Edina School District provides numerous programs for children in the various
schools throughout the District. This is particularly true for EHS where there are
many extra curricular activities available.
• The School District also operates the active Edina Community Center with
education opportunities for all ages — from pre-school thru seniors. This facility is
very well staffed and effectively managed.
Our conclusion is that additional Community Centers are not needed and -any funds so
spent would not be cost effective. Certainly this is particularly true for the southwest area
of Edina. If any group of individuals feels a need for a gathering place to meet, talk, play
bridge — or whatever — the facility exists at Braemar — including a full kitchen for catered
events as well as a grill and snack bar. Braemar has the infrastructure to meet whatever
needs truly exist. We don't believe Edina taxpayers would, or should, support the costs
for any kind of comparable facility at Lewis Park.
Food Service
• As outlined in the above paragraph, any consideration for a snack bar/coffee shop
is redundant to what is provided in a more than adequate facility just one mile
away — at Braemar.
• In addition, it seems ill advised to even think about a snack bar/coffee shop
operated on Edina Park property with two such facilities operated as private small
businesses just two blocks away — Honkin' Joes and Edina Coffee.
In conclusion, the Board of the Lewis Ridge Condominium Association purports 1) that
the proposed project will adversely affect our residents, 2) that another Community
Center is not needed anywhere in Edina, and most particularly in southwest Edina where
Braemar is located and 3) that it is unwise to consider operating a snack bar/coffee shop
on Park property with two competing private facilities just two blocks away.

business. Not only are we a start up cafd and restaurant but also
have gone to great lengths to develop our name recognition in the
community. We currently serve nearly an identical menu to the

In addition, I believe that we have complied with all necessary
licensing fees, permits etc. We also have joined the Edina Chamber
of Commerece. This has enabled us an equal opportunity to find a
successful niche for which to do business within Edina and more
specifically the Cahill neighborhood.
It is my opinion that utilizing city property to allow any vendor to
compete directly with local businesses is an unfair and unpopular
proposal. While we are attempting to grow our business, we have
only been open for five months, I believe that following through on
this proposal would certainly hinder our possibility of continued

My name is Mark Litman and I live in the townhomes that are adjacent to Lewis
Park. I strongly oppose the proposal to tear down the warming house and
replace it with a structure that includes any type of food or drink service or any
private investment in parkland. I am against the commercialization of public
land by private investors, especially when it competes with existing established
private businesses. What was classified as a "gift, or a donation of a building" is
in fact a disguised private enterprise on public land. It results in the private
group running a business on public land until they recoup their investment,
(regardless of whether they build in an established return on investment or not),
and also provides for a significant tax deduction in the form of depreciation.
What type of precedent would you be establishing if you allowed this?
Also, there are serious potential liability issues that would not be easy to access
or clearly define, such as where would the city/taxpayers responsibility and
liability begin and end and at what point would it be the private investors.
Surely Edina has public officials or appointees with a more thorough and
informed background on what is appropriate use of the Park. Why would you
allow private groups to come in and tell you how to use public property?
The construction of yet another coffee house convenient to where children play
soccer, football and hockey should not drive determination of what is
appropriate use of public land. Why can't the parents bring their drinks with
them to the Park like they do elsewhere? Do we need to provide yet another
opportunity for litter in the parks, sugary drinks, or more caffeine in the
community? Let's keep our public parks separate from private investment
regardless of how a deal is packaged to the Park Board and.the City Council.
Look through the veil of "the gift" to see what lies beneath, the true nature of
this proposal is the running of a private business on public parkland. Don't let
semantics cloud your judgment in the consideration of this proposal.

I read with interest the proposal to upgrade the warming house at Lewis Park into
some type of community gathering place. I too would like a gathering place on
the Southwest side of town.
I, however, would propose that the City, if it has money to do this, upgrade the
Cahill business district so that it is a more pleasant place to visit and shop. This
would be the logical community meeting and gathering place.
About 101 years ago I stood before the Council and asked that TIF money
generated by the Cahill district be used to upgrade the landscaping and
amenities. 1 wanted some type of fencing or wall to indicate this was one area,
rather than a hodgepodge of businesses. This was done successfully on Vernon
by Jerry's Grocery.
I was told the money was needed more urgently over on Wooddale to redevelop
a gas station that had become a neighborhood eyesore. I was also told when this
project was completed, the money left over or repaid after development could
then be used to enhance the Cahill business district. As of this time, nothing has
been done.
I fail to see why the City should put dollars into a coffee shop/ meeting place
when there is such a location one a half block away that only needs an upgrade.
I am surf: the business owners there do not want the city competing with them for
food and coffee sales. At the very least they should be contacted as to their
views on this proposal.
I would very much like to see an upgrade on this side of town. If the dollars are
available please consider upgrading the already existing Cahill business district.

I just had the opportunity to review the Oct. version of the Park Comp Plan and found it to be very thorough. Congratulations on all your
efforts in putting it together. It will serve our community well into the future.
I also recently became aware of the Lewis Pk Coffee House proposal. I haven't heard of anything so bad since the Field House proposal. Our
parks are no place for private enterprises - worse yet - one that doesn't expect to make much money and which they will 'return' to the city to
run. A half million dollar'loan' to the city at 5% is no'gift', especially when the city will be expected to take it over and operate it. As if the city
has any staff sitting around with nothing to do and can just take it on??? I agree that the warming house and hockey rink are an'eye sore'. Since
it is Bloomington residents that mostly use the hockey facility, why not just remove the rink and warming house and return it to green space? I
don't think those young mothers are really going to come to the coffee house at 7 pm to socialize and use yFI. They will be home helping their
kids with their homework. And as for the kids - no way do they want to go to a coffee house run by their mothers!!! What are these people

As a new business owner in Edina I was approached by an individual with a request to build a new
skating rink building. When I gave my approval I was under the impression that it was a warming
house with a non profit concession stand, run by volunteers. If it is to be a coffee shop run for profit I
am adamantly opposed to it. That would be in direct completion with the Sub shop that I have just
started.
I have been involved in the food industry for the past 30 years, and have run my own business for the
last 5 years. I have many concerns with the information I have received so far. Any information you

I'm writing to express my concern for the proposal to tear down the warming house at
Lewis Park and replace it with a facility that would include a coffee shop/snack bar. I
have lived in the Lewis Ridge Condominiums, which border the northern edge of Lewis
Park property, for the past 22 years. During that time I've seen a number of changes in
the Park's physical facilities and activities. Significant upgrading of the soccer fields was
accomplished a few years ago, the young children's play area was revamped, and
benches were added along the walking paths. These changes were made without
adversely affecting the Park's primary attribute as a lovely area where one can stroll thru
a beautiful setting, walk their dog, or watch children play. Now we're faced with a
proposal that would, I'm certain, significantly damage this "jewel". To incorporate a
commercial food service operation in the remodeled warming house, while a plus for
some perhaps, would be a significant intrusion into the quiet serenity that most of us
admire so much about this wonderful neighborhood facility.
So, while I'm willing to support change even if it doesn't necessarily benefit my
enjoyment of Lewis Park, I draw the line at commercial activities. The City of Edina
should, in my opinion, refrain from permitting any commercial operation on park
property. Not only does it adversely affect the nature of the park, it can result in unfair
competition for related private businesses.

The proposal to enlarge, serve some food and maybe reduce some
space for the ice rink and green space with a private investure is very
definately NOT the way to go. We hope the Park Board, Finance Manager,
City Counci= members and Mayor turn down the private investment to make
any major changes in the hockey rink or the precious GREEN SPACE.

As residents of Edina, residing near Lewis Park, we have recently learned of a private
project "for a better Lewis Park" to upgrade and improve the warming house.
For the record, we do not look at the proposed warming house as a needed or desirable
local community center. However, while we do not use the warming house or hockey
rink, it appears that either or both are aged and could be improved when financially
feasible.
We walk daily around the park, year-round, and enjoy the pathway. As senior citizens,
our primary concern has been the condition and safety of the pathways, especially 1) to
avoid potentially hidden icy spots, and 2) the desire for lighting along the path in the
evening.
We will not be able to attend the meeting scheduled for the 13th of November. Please
accept this letter as our position opposing the private "for a better Lewis Park" Project.

I would like to voice my concern about the private venture setting up a coffee house in Lewis

I am certainly not opposed to having the Lewis Park building renovated to create a more

partnership would not be interested in providing the building. Also, it sounds great for the City
to share in excess profits of such a shop, but what if the market for hanging out paying
exorbitantly for coffee tanks? Who absorbs potential losses? These are my concerns which I
would like to have known, as I am unable to attend tomorrow's meeting.
