PUBLIC UNDERGROUND UTILITY EASEMENT
This Public Underground Utility Easement is made as of 7 2017, by
Berman Edina Property, LLC, a Minnesota limited liability company (the "Grantor"), in favor of
the City of Edina, Minnesota, a Minnesota municipal corporation (the "Grantee").
RECITALS
WHEREAS, the Grantor is the fee owner of the real property described below and
depicted on Exhibit A (the "Property").
WHEREAS, the Grantor desires to grant to the Grantee a public utility easement over a
portion of the Property described below and depicted on Exhibit B (the "Easement Area").
TERMS OF EASEMENT
1. Grant of Easement. In consideration of the payment of one dollar and other good
and valuable consideration, receipt of which is acknowledged by the Grantor, the Grantor grants,
and conveys to the Grantee a perpetual, non-exclusive public easement for underground utility
purposes over the Easement Area subject to the terms and conditions hereof.
2. Scope of Easement. The underground utility easement granted herein includes the
right of the Grantee and it franchisees, licensees and designees and their respective contractors,
agents, employees, and designees to enter the Property at all reasonable times for the purpose of
installing, constructing, reconstructing, operating, maintaining, inspecting, altering and repairing
underground utilities in the Easement Area. The easement granted herein also includes the right
to cut, trim, or remove any trees, shrubs, or other vegetation within the Easement Area as in the
Grantee's judgment unreasonably interfere with the easement or the improvements of the
Grantee.
3. Binding Effect. The terms and conditions of this instrument shall run with the
Property and be binding on the Grantor, its successors in title and assigns.
