During "Community Comment," the Housing and Redev elopment Authority
(HRA) will invite members of the a udience to share new issues or concerns
tha t haven't been considered in the past 30 days by the HRA or which aren't
slated for future consideration. Indiv iduals must limit their comments to
three minutes. The Chair may limit the number of spea kers on the same
issue in the interest of time and topic. Generally speaking, items that are
elsewhere on tonight's agenda ma y not be addressed during Community
Comment. Individuals should not expect the Commissioners to respond to
their comments tonight. Instead the HRA might refer the matter to sta, for
considera tion at a future meeting.
V.Adoption of Consent Agenda
All a genda items listed on the consent agenda are considered routine and
will be enacted by one motion. There will be no separa te discussion of such
items unless requested to be remov ed from the Consent Agenda by a
Commissioner of the HRA. In such cases the item will be remov ed from the
Consent Agenda and considered immediately following the a doption of the
Consent Agenda. (Favorable rollcall v ote of majority of HRA Commissioners

I. CALL TO ORDER
Chair Hovland called the HRA meeting to order at 11:46 P.M.
II. ROLLCALL
Answering rollcall were Commissioners, Brindle, Fischer, Staunton, Stewart, and Chair Hovland.
III. APPROVAL OF MEETING AGENDA
Motion made by Commissioner Brindle and seconded by Commissioner Stewart approving the
Meeting Agenda.
Ayes: Brindle, Fischer, Staunton, Stewart, Hovland
Motion carried.
IV. COMMUNITY COMMENT
No Community Comment was received.
V. CONSENT AGENDA ADOPTED
Motion made by Commissioner Brindle seconded by Commissioner Fischer approving the consent
agenda as follows:
V. A. Approve minutes of September 19, 2017 HRA Work Session and September 19, 2017
Regular HRA Meeting
V. B. Approve preliminary and final engineering design services for the revising the west entrance
(near Restoration Hardware) into Southdale Mall Property at 69th Street with WSB & Associates
Inc. in the amount of $55,638.00.
V.C Approve preliminary transportation study services for the Grandview Green project to Kimley-
Horn and Associates, Inc. in the amount of $52,000.
VI. CLOSE THE MEETING OF THE EDINA HRA AS PERMITTED BY MS. 13D.05 SUBDIVISION 3(C)

Motion made by Commissioner Staunton and seconded by Commissioner Brindle closing
the meeting of the Edina HRA as permitted MS 13d.05 subdivision 3(c) to discuss possible
purchase of real property located at 4815 to 4901 west 77th street and 7710 Computer Avenue
Ayes: Brindle, Fischer, Staunton, Stewart, Hovland
Motion carried.
VII. CLOSED SESSION: POTENTIAL PURCHASE OF REAL PROPERTY LOCATED AT 4815 TO 4901
WEST 77TH STREET AND 7710 COMPUTER AVENUE
Staff reviewed the possible purchase of the property located at 4815 to 4901 West 77th Street and 7710 Computer
Avenue. The HRA asked questions of staff and gave directions regarding how to proceed with the possible purchase.
VIII. MOVE BACK INTO OPEN SESSION
Motion by Commissioner Steward seconded by Commissioner Staunton to move back into open
session.
IX. ADJOURNMENT

Re: North Ramp Expansion – Project Update
Staff continues to work with the architects and engineers to refine the concept and prepare construction
drawings for the North Parking Ramp. This update is provided for informational purposes only. Please
advise staff if you have any concerns or suggestions regarding the content of this memo.
1) Parking Ramp Design – The designers have completed the 60% construction documents. They have
been reviewed by staff for functionality. They have been reviewed by the Owner’s Representative for
effectiveness and performance.
The design team met with the City’s regulatory staff (Building, Fire, Planning, and Engineering) to
review the plans. The suggestions and concerns identified by the regulatory staff will be addressed in
the 90% construction documents. Most design changes are minor and can be satisfactorily resolved.
Additional detail on four specific topics is provided based on the degree of conversation that occurred
during the approval process.
a) Future Use of Parking Garage – The structural design capacity of the new floor has been
upgraded to accommodate a future change to office space. The new floors will be “flat” instead
of “sloped” so that a different use is feasible. The foundations and supporting structural has also
been designed so that a future partial level can be added if desired in the future.
b) Street Appearance - The southern and eastern facades have been revised slightly to address
requirements of the Minnesota Building Code. A combination of vegetative screening panels and
decorative horizontal slats is proposed to improve aesthetics and reduce light spill to the
sidewalk while still allowing the structure to be naturally ventilated. A series of decorative metal
panels are anticipated on the southwest corner – one of the most visible elements of the
building. A fixed art installation is anticipated on the southeast corner – the second highly visible
element. A “call for art” is anticipated to select the actual artwork that is installed. See Sheets
A301 and A302.

c) Backyard Appearance - The northern façade has evolved to take advantage of existing foliage.
The overall design includes existing foliage plus decorative metal panels in strategic locations plus
new foliage. This strategy improves the aesthetics, limits light spill to the backyard and
incorporates hardy foliage to provide a natural screen to the adjacent residential properties. The
landscape architects do not feel confident that vegetative screens mounted to the walls will
survive or thrive in this location. See Sheet A303.
d) Rooftop Lighting - The rooftop lighting is anticipated to consist of low-height poles mounted in
the center (rather than the edges) of the structure so as to limit visibility and light spill to the
backyards to the north. Perimeter lighting was explored but determined to not be capable of
providing the levels of illumination required by the Minnesota Building Code. The only way to
achieve code compliance with perimeter lighting would be to extend the height of the walls so
that the lights could be mounted higher. This approach would add more shade to the backyards
and more bulk to the building. See Sheets E004 and E102.
2) Commercial Space Design – Approximately 10,000 square feet of new commercial space will be
integrated into the street level of the building. This space will have a ceiling height of approximately 16
feet which will be attractive to many potential tenants. The mechanical systems for these spaces have
been moved off the roof and integrated into the structure with ventilation directly to the exterior.
This adjustment preserved more parking stalls for use by customers and employees.
When the grey-box shell of these commercial spaces is complete, they will be sold to the Developer
who will be responsible for leasing.
3) Budget – The Owner’s Representative (SRF Consulting) has completed a new estimate of
construction costs based on the 60% construction documents. The project appears to be on budget.
4) Construction and Delivery Strategy – It is vital that the North Ramp be re-opened for employee use
on or about April 1st. A bonus and penalties will be incorporated into the bid documents and
construction contract to strongly encourage the contractor to deliver the project on time – despite
working in winter conditions.
5) Schedule – The project continues to be on schedule. Ground breaking is anticipated in January 2018
with partial completion in April 2018 and ribbon cutting in September 2018.
6) Next Steps – The 90% construction documents will be available for interested bidders in early
November 2017. These documents will also be submitted for Building Permits. Bids will be due in late
November and will be considered at the December 5th HRA meeting. The construction contract will
be prepared and considered at the December 19th HRA meeting so that construction can begin as
soon as possible in 2018.

RESOLUTION NO. 2017-08
RESOLUTION AUTHORIZING AN INTERFUND LOAN FOR
ADVANCE OF CERTAIN COSTS IN CONNECTION WITH THE
50TH AND FRANCE 2 TAX INCREMENT FINANCING DISTRICT.
BE IT RESOLVED by the Board of Commissioners (the "Board") of the Edina Housing
and Redevelopment Authority (the "HRA"), as follows:
Section 1. Background.
1.01. The HRA and City of Edina, Minnesota (the “City”) have heretofore approved the
establishment of the 50th and France 2 Tax Increment Financing District (the "TIF District")
within the Southeast Edina Redevelopment Project Area (the "Project Area"), and have adopted
a Tax Increment Financing Plan (the "TIF Plan") for the purpose of financing certain
improvements within the Project Area.
1.02. The HRA has determined to pay for certain costs identified in the TIF Plan
consisting of land/building acquisition, demolition and site improvements/preparation, public
utilities, streets and sidewalks, other qualifying improvements, interest and administrative costs
(collectively, the "Qualified Costs"), which costs may be financed on a temporary basis from
HRA or City funds available for such purposes.
1.03. Under Minnesota Statutes, Section 469.178, Subd. 7, the HRA or City is
authorized to advance or loan money from the general fund or any other fund from which such
advances may be legally authorized, in order to finance the Qualified Costs.
1.04. The HRA intends to reimburse itself for the Qualified Costs from tax increments
derived from the TIF District in accordance with the terms of this resolution (which terms are
referred to collectively as the "Interfund Loan").
HRA Resolution 2017-08
1.05. The Qualified Costs include up to $150,000 for the demolition and remediation of
property at 3944 Market Street in 2017 and up to $4,000,000.00 for the expansion of the
North Parking Ramp at 3936 Market Street in 2018.
Section 2. Terms of Interfund Loan.
2.01. The HRA hereby authorizes the advance of up to $4,150,000.00 from the
Centennial Lakes Tax Increment Financing fund or so much thereof as may be paid as Qualified
Costs. The HRA shall reimburse itself for such advances together with interest at the rate
stated below. Interest accrues on the principal amount from the date of each advance. The
maximum rate of interest permitted to be charged is limited to the greater of the rates
specified under Minnesota Statutes, Section 270C.40 or Section 549.09 as of the date the loan
or advance is authorized, unless the written agreement states that the maximum interest rate
will fluctuate as the interest rates specified under Minnesota Statutes, Section 270C.40 or
Section 549.09 are from time to time adjusted. The interest rate shall be 4% and will not
fluctuate or shall be allowed to fluctuate.
2.02. Principal and interest ("Payments") on the Interfund Loan shall be paid annually on
each December 31 (each a "Payment Date"), commencing on the first Payment Date on which
the HRA has Available Tax Increment (defined below), or on any other dates determined by
the Executive Director of the HRA, through the Payment Date following last receipt of tax
increment from the TIF District.
2.03. Payments on this Interfund Loan are payable solely from "Available Tax
Increment," which shall mean, on each Payment Date, tax increment available after other
obligations have been paid, or as determined by the Executive Director of the HRA, generated
in the preceding six (6) months with respect to the property within the TIF District and
remitted to the HRA by Hennepin County, all in accordance with Minnesota Statutes, Sections
469.174 to 469.1794, all inclusive, as amended. Payments on this Interfund Loan may be
subordinated to any outstanding or future bonds, notes or contracts secured in whole or in
part with Available Tax Increment, and are on parity with any other outstanding or future
interfund loans secured in whole or in part with Available Tax Increment.
2.04. The principal sum and all accrued interest payable under this Interfund Loan are
pre-payable in whole or in part at any time by the HRA without premium or penalty. No
partial prepayment shall affect the amount or timing of any other regular payment otherwise
required to be made under this Interfund Loan.
2.05. This Interfund Loan is evidence of an internal borrowing by the HRA in
accordance with Minnesota Statutes, Section 469.178, Subd. 7, and is a limited obligation
payable solely from Available Tax Increment pledged to the payment hereof under this
resolution. This Interfund Loan and the interest hereon shall not be deemed to constitute a
general obligation of the State of Minnesota or any political subdivision thereof, including,
without limitation, the City or HRA. Neither the State of Minnesota, nor any political
subdivision thereof shall be obligated to pay the principal of or interest on this Interfund Loan
or other costs incident hereto except out of Available Tax Increment, and neither the full faith

and credit nor the taxing power of the State of Minnesota or any political subdivision thereof is
pledged to the payment of the principal of or interest on this Interfund Loan or other costs
incident hereto. The HRA shall have no obligation to pay any principal amount of the Interfund
Loan or accrued interest thereon, which may remain unpaid after the final Payment Date.
2.06. The HRA may amend the terms of this Interfund Loan at any time by resolution of
the Board, including a determination to forgive the outstanding principal amount and accrued
interest to the extent permissible under law.
Section 3. Effective Date. This resolution is effective upon the date of its approval.

I N TR O D U C TI O N :
T he property located at 3300 E dinborough Way entered into an agreement with the E dina H R A in 1985 which
required them to pay a fee for the maintenance of E dinborough P ark. At a certain point (typically 3 years) after
the building was completed and occupied, the fee was set to increase based on a C onsumer P rice Index (C P I )
that was defined in the agreement. I t was S taff's responsibility to inform the building owner of the fee increase
and to bill accordingly. A recent analysis indicated that the amount billed over the last several years (6) was less
than what should have been due primarily to an error in the application of the annual C P I adjustment. T he
owner of the building has worked cooperatively with C ity and has paid the amount past due of $15,056.38.

RELEASE AGREEMENT
THIS RELEASE AGREEMENT ("Release Agreement"), dated 0 CA-thier-
2017, entered into by and between the CITY OF EDINA HOUSING AND
REDEVELOPMENT AUTHORITY, a body politic and corporate under the laws of the State of
Minnesota ("Edina HRA"), and 3300 EDINBOROUGH ASSOCIATES, LLC, a Delaware
limited liability company, LARGER EDINBOROUGH LLC, a Minnesota limited liability
company and DELAY EDINBOROUGH LLC, a Minnesota limited liability company, as tenants
in common ( collectively "Property Owner").
RECITALS
WHEREAS, The Edinborough Corporate East Limited Partnership. ("ECELP") was the
prior owner of property ("Property") legally described as Lot 3, Block 1, Edinborough Addition,
according to the recorded plat thereof, Hennepin County, Minnesota; and
WHEREAS, on October 1, 1985, ECELP and the Edina HRA entered into an Agreement
for Covenants Running with the Land ("Covenant Agreement") which was recorded in the office
of the Hennepin County Recorder as document number 1681158 on October 28, 1985, and as
document number 5047199 on October 30, 1985, and which runs with the land and is binding on
all subsequent owners of the Property; and
WHEREAS, the Covenant Agreement requires the payment of a fee ("Public Maintenance
Charge") to be used by the Edina HRA for the maintenance of what is now known as Edinborough
Park; and
WHEREAS, pursuant to the Covenant Agreement, said Public Maintenance Charge was
owed monthly by all owners of the Property; and
WHEREAS, Property Owner obtained title to the Property on December 19, 2012; and
WHEREAS, there is a dispute between the parties regarding the Public Maintenance
Charge; and
WHEREAS, at all relevant times, the Edina HRA has been the owner of Edinborough
Park; and
WHEREAS, in an effort to settle all past and outstanding claims by the Edina HRA against
Property Owner, and the Property, the parties have agreed to the terms of this Release Agreement
and an amount to be paid by Property Owner for the total and complete release of past and
outstanding claims by the Edina HRA for Public Maintenance Charges due on or before the date
of this Release Agreement.
NOW, THEREFORE, the parties, in consideration of the following provisions and
covenants, do hereby agree as follows:

1. Payment. Contemporaneous with the execution of this Release Agreement,
Property Owner shall pay the Edina HRA a one-time payment in the amount of Fifteen Thousand,
Fifty Six and 38/100 dollars ($15,056.38) ("Payment").
2. Release of Claims. Upon receipt of the Payment, the Edina HRA shall give up all
Claims (defined below) against Property Owner. The Edina HRA will not bring any lawsuits, file
any charges, complaints, or notices, or make any other demands against any of the Property Owner
based on said Claims. For the purposes of this section, "Claims" means all of the rights the Edina
HRA has now to any relief of any kind from Property Owner for Public Maintenance Charges
owed for the Property on or before the date of this Release Agreement. "Claims" does not include
the rights of the Edina HRA related to Public Maintenance Charges which may become due after
the date of this Release Agreement or which are owed for properties [other than the Property.
3. Continuing Responsibility. Property Owner shall continue to be responsible for
the payment of Public Maintenance Charges that become due after the date of this Release
Agreement and during the time Property Owner owns the Property, in the manner set forth in the
Covenant Agreement. All parties agree that, pursuant to the Covenant Agreement, as of the date
of this Release Agreement, the Public Maintenance Charge is $3,859.95 per month. All parties
further agree that the Public Maintenance Charge will automatically increase annually each
September, in the manner set forth in the Covenant Agreement.
4. No Admission of Liability. It is expressly understood and agreed that the above
payment is for the purpose of settling and compromising claims by Edina HRA against the
Property Owner, which are disputed. It is understood and agreed that this settlement does not
constitute any admission of fault, responsibility, or liability on the part of the Property Owner and
that all fault, responsibility or liability on the part of the Property Owner is expressly denied.
5. No Third Party Rights. This Release Agreement is solely for the benefit of the
parties hereto. This Release Agreement shall not create or establish any rights in or for the benefit
of any third party. This Release Agreement does not release any third party from its obligation to
pay the Public Maintenance Charge.
6. Entire Agreement. It is understood and agreed that the entire agreement of the
parties is contained herein and that this Release Agreement supersedes all oral agreements and
negotiations between the parties relating to the subject matter hereof. Any alterations,
amendments, deletions and waivers of the provisions of this Release Agreement shall be valid only
when reduced to writing and duly signed by each party.
7. Governing Law. This Release Agreement will be governed and construed in
accordance with the laws of the State of Minnesota, regardless of the parties' domicile or status as
residents of Minnesota or any other state. The parties agree that the Minnesota state and federal
courts will have exclusive jurisdiction over any dispute arising out of this Release Agreement.
8. Executed in Counterparts. This Release Agreement may be executed in
counterparts, each of which shall be deemed to be an original, but all of which, taken together,
shall constitute one and the same Release Agreement.
