WHEREAS# South ale Center, Inc. and Southdale Realty Company,
both Minnesota corporationsi have tendered to the Village of Edina a quit
claim deed conveying to the Village a perpetual right of way for street
purposes over the following parcels of land in Hennepin County, Minnesota,
to-wit.
(1) Tracts "A". "C" and I'D" of Registered Land Survey No.
629, files of the Registrar of Titles in and for said County
and $tate, and that portion of York Avenue South as now
platted lying between Tracts "A" and '11)1% said Survey
No., 629.
(2) Tract "J" of Registered, and Survey No,, 432, files of
the Registrar of Titles in and for said County and State.
(3) Tract "S" of Registered Land Survey No. 629, files of the
Registrar of Titles in and for said County and State.

and
WHEREAS. The Prudential Life Insurance Company of America,
a New Jersey corporation, holder of a mortgage given by said S►Uthdale
Center, Inc. dated May 1, 1955, filed In the office of the said Registrar
of Titles on July 29, 1955, as Document 468693, -mortgaging a portion
of the preridses described in the aforesaid quit claim deed, has tendered to
the Village a document subordinating its said mortgage to the dedication of
said parcels for public street purposes, and
WHEREAS,, Allied Central Stores., !no.., a Missouri corporation,
holder of a private easement for street purposes granted by that certain
warranty deed given by said Southdale Center, Inc. dated May 24, 1955,
filed in the office of said Registrar of Titles on June 11. 1954, as Docunaeat
No. 463070, over a portion of the premises described in the aforesaid quit,
claim deed tendered by Southdale Center, Inc. and Southdale Realty Company,
has tendered to the Village a document subordinating its said private easement
to the dedication of said parcels for public street purposes-, NOW, THERBPORE,
BE IT RESOLVED. That said quit claim deed and subordination
agreements be, and they hereby are, accepted by the Village of Edina, and
the dedication of said parcels for public street purposes be, and the same is
hereby, accepted a-ad approved.

declared opened for street purposes.
BE ITFURTHSA ARSOLVED, That the Clerk of the Village of
Udina be, and he hereby is, authorized and directed to forthwith file the
deed and subordination agreements described in the preamble hereto, to-
gether with a true copy of this resolution, in the of of the Registrar of
Titles in and for Hennepin County, VlLnnesota, and to take all other steps
necessary or expedient to effectuate the purposes expressed, In this resolution.

It is our opinion that upon the filing of said
quitclaim deed,, said two Subordination Agreements and a duly
cOrtifted copy of an appropriate resolution of the Council

ACCEPTING STREET DEDICATION
WHEREAS, Southdale Center, Inc. and Southdale Realty Company,
both Minnesota corporations, have tendered to the Village of Edina a quit
claim deed conveying to the Village a perpetual right of way for street

BE IT RESOLVED, That said quit claim deed and subordination
agreements be, and they hereby are, accepted by the Village of Fdina, and
the dedication of said parcels for public street purposes be, and the same is
hereby, accepted and approved.
BE IT FURTHER RESOLVED, That said parcels are hereby
declared opened for street purposes.
BE IT FURTHER RESOLVED, That the Clerk of the Village of
Edina be, and he hereby is, authorized and directed to forthwith file the

ing between said tracts ttD" and "A", and the Subordination
Agreement dated February 25, 1957 by The Prudential Insurance
Company of America, a New Jersey corporation, with reference
to the above described tracts of land.
We have also examined Certificate of Title No.
235079 in the office of the Registrar of Titles of said Henn-
epin County, Minnesota with reference to the tracts of land
itemized in subparagraphs (1) and (2) above and Certificate of
Title No. 246112 in the office of said Registrar of Titles
with reference to the tracts of land itemized in subparagraphs
(3) and (4) above.

Dear Mrs. Alden:
I enclose herewith a draft of resolution and
certificate which was furnished to me by Mr. Lyman
Beardsley. Mr. Beardsley advised that this was the
form of resolution adopted by the Village Council on
Monday, February 25, and that the form of certificate
attached was the form which you had previously executed.
The prospective mortgagees of the Donaldson Southdale
property have requested me to secure a certified copy
of the resolution.
If satisfactory to you.. I would appreciate it
if you could sign, seal and have acknowledged the
certificate attached to the resolution, and return the
same to me in the envelope enclosed.
I notice that the form prepared by Mr. Beardsley
is dated February 25, 1957• The dating is immaterial
for our purposes and if you wish to change this, please
do so.
