I enclose herewith a fully executed copy of the Morton Arneson
deed to the Village of Edina which has indicated thereon the recording
data in the Office of the Register of Deeds, Hennepin County, Minnesota.
This deed was recorded in that office on January 10, 1969, as Document
No. 3758613. I send this to you for your file.
It was a very nice story with pictures that the Sun paper
published last Thursday. I an sure the Arnesons were pleased by that
coverage. I thought it was well done and appropriate. As for me, working
with you, the Arnesons and Mr. Wangaard on this transaction, was a real
pleasure.

WHEREAS, Morten Arneson and Katherin Arneson, husband
and wife (hereinafter together called "Arnesons ") have conveyed
to the Village of Edina, a Minnesota municipal corporation, (here-
inafter called "Edina ") a certain tract of land located in the
Village of Edina, and legally described as follows:
That part of the East 661.4 feet of the West One -half
of the Northwest Quarter, Section 31, Township 28,
Range 24, lying North of the following described line:
Beginning on the East line of the Northwest
Quarter of the Northwest Quarter of said Section
31, at a point 406.29 feet North (when measured
along said East line) of the most Easterly corner
of Lot 4, Block 3, Lake Edina 2nd Addition; thence
Westerly at an angle of 890 50' with said West
line (as measured from South to West) to the West
line of the East 661.4 feet of the West One -half
of the Northwest Quarter of said Section 31, and
there terminating except that part thereof lying
within a parcel of land described as follows:
Beginning at the Southwest corner of the
East 661.4 feet of the Northwest Quarter of North-

WHEREAS, the parties have made certain agreements and
arrangements relative to the use and maintenance of said property
and wish to reduce the same to writing.
NOW THEREFORE, for and in consideration of the convey-
ance and acceptance of said land and other good and valuable
consideration, the parties hereto do hereby agree as follows:
1. Arnesons reserve and shall have the full use and
possession of the property above described for and during their
lives and the life of the survivor of them.
2. Edina shall obtain and pay for fire and extended
coverage insurance for the improvements on the property above
described, and shall obtain and pay for public liability insur-
ance covering injuries to persons and property thereon, which
public liability insurance shall name, as additional insured
parties, the Arnesons, for the period of their occupation and
possession, and that of the survivor of them, and which insur-
ance shall be in such amounts and on such terms as Edina deems
necessary. Arnesons, however, shall maintain, at their expense,
their own personal property and automobile liability insurance.
In the event of damage to such improvements due to perils in-
sured against, Edina shall repair such damage to the extent of
the insurance proceeds received by it.

3. Edina shall pay all real estate taxes and install-
ments of special assessments on the property above described
which become due and payable in 1969 and subsequent years.
4. Arnesons, during their use and possession of the
property above described, shall maintain in good repair, and pay
for all maintenance of, the property above described and all
improvements thereon (except to the extent Edina is to repair
such improvements as provided in paragraph 2), and shall pay for
all utilities used by them.
5. Arnesons also hereby grant and convey to Edina
all tree and garden nursery stock and all furniture and furnish-
ings, including the drapes and carpeting, which are on the above
described property at the termination of the use and possession
by Arnesons and the survivor of them of the above described
property; it being understood that during the use and possession
by Arnesons and the survivor of them they shall have full right
to remove, replace, and use, in their usual and normal manner,
any and all such stock, furniture and furnishings.

Enclosed herewith is a copy of deed from Morten Arneson and
his wife , dated January 2, 1969, to the Village of Edina, conveying
the property known as Arneson Park. You will note that the only "covenant"
is a statement that the property is conveyed to the City (then Village)
"to be used as and for a public park." That is the only reference in
the deed to any kind of restriction, and is the only one I recall having
been discussed with Mr. Arneson.
It is my present opinion that the proposed use of the house
by the Garden Council and Historical Society is a "public park" use
within the meaning of this deed. I am, however, because of the anticipated
debate on the issue, researching that question in order to be prepared
for response to any critics.
For completeness, I am also enclosing a copy of an agreement
between the City and Morten Arneson and wife relating to the life estate
in the property and the retention by Morten of the use of certain nursery
stock, furniture and furnishings on the property. To my knowledge this
is the only agreement between the parties relative to this matter.

Gentlemen:
I am the attorney for Morton Arneson and Katherine Arneson,
husband and wife. I have been instructed by them to deliver to you
the below described documents. Therefore, there is delivered to you
this date a fully executed quit claim deed from Morton Arneson and
Katherine Arneson, husband and wife, to the Village of Edina for property
in the Village of Edina given to the Village as and for a public park.
A copy of that deed is attached. There is also delivered to you this
date a fully executed Agreement between Morton Arneson and Katherine Arneson
and the Village relating to the use and occupancy of the property described
in the deed for and during the lives of Morton Arneson and Katherine Arneson,
and the survivor of them.
Will you please execute the copy of this letter in the place
provided at the end thereof to evidence youcreceipt- of these documents.
