warranty deed by which Marcos A. and Eleanor N. Irizarry conveyed -

Said deed should be given to Mr. Dalen for the purpose of exempting the
real estate taxes payable in 1970 and subsequent years.
Enclosed herewith please also find the tax statements for
the real estate taxes payable in 1969 showing that the second half of

AGREEMENT
THIS AGREEMENT, by and between the VILLAGE OF EDINA, a municipal corpo-
ration, under the laws of the State of Minnesota, party of the first part,
and MARCOS A. IRIZARRY and ELEANOR M. IRIZARRY, husband and wife, parties of
the second part;
WITNESSETH THAT,
WHEREAS, Said parties of the second part are the owners of the property .
described as follows:
That part of Lots 52 and 53, Auditor's Subdivision No. 172, .
Hennepin County, Minnesota, described as beginning at North-
east corner of said Lot 52; thence South along East line of
said Lots 52 and 53, a distance of 53.22 feet; thence North-
westerly deflecting to the right 1330 46' 59 ", a distance of
15.61 feet; thence Northwesterly 69.32.feet on a tangential
curve to the left, having a radius of 110 feet; thence North-
westerly in a straight line, tangent to last described curve

WHEREAS, The parties of the second part have agreed to sell, and the
Village of Edina has agreed to buy the property described above; and
WHEREAS, it appears that a gap or an overlap.exAzt .:.along. the -East line
of the property_ described above; and
WHEREAS, it appears that in order for the parties of the second part
to convey a marketable title to the Village of Edina it will be necessary
to register the title to the property described above; and
WHEREAS, the parties hereto have agreed to a closing;
NOW, THEREFORE, for and in consideration of the foregoing and of the
agreement herein contained, the parties agree as follows:
1. Said parties of the second part agree to co- operate with
the Village of Edina in registering the title to the above
described property in the Village of Edina and agree to
testify, supply information and perform any reasonable acts
in connection with said registration.
2. Parties of the second part shall not be required to pay
any cost or expense in connection with said registration
other than time and travel expense in performing the above
mentioned acts.

Enclosed herewith please find an original and one carbon copy of
the Agreement to Co- operate by and between the Village of Edina and Marcos
A. Irizarry and Eleanor M. Irizarry. Please have the mayor and the clerk
of the Village of Edina execute the enclosed agreement in the presence
of two witnesses and before a notary public. The original is for your
files. Please return the copy to the undersigned.
Enclosed also please find a Seller's Affidavit and Affidavit of
Adverse Possession and a copy of the warranty deed by which Marcos A.
Irizarry and Eleanor M. Irizarry conveyed to the Village of Edina the
property described therein. Said waranty deed should be given to Mr.
Dalen so that he might exempt the property from real estate taxes payable
in 1970 and subsequent years.
Please also find enclosed the original of the title opinion rendered
by our office for the property the Village of Edina is buying from Union
Oil Company of California. Concerning the title objection recited in
Paragraph 1 of said title opinion, I have been in contact with Vergel
Edwards of Union Oil and he has instructed me to prepare the necessary
affidavit to remove this title objection.

premises was vested in UNION OIL COMPANY OF CALIFORNIA, a California corpo-
ration, free and clear of all liens, charges and encumbrances, except the
following:
1. By a Quit Claim Deed dated January 24, 1968, filed October 22, 1968,
and recorded in Book 68 of Hennepin County Records, page 3741688, Douglas Rees
and Virginia P. Rees, husband and wife, conveyed to Muriel Hancock ,Ralph H.
Sampson, Evelyn Plough, Dorothy Ciminsky, Richard E. Sampson, Fred Sampson.
Dorothy Sampson, Joy Churchill and all heirs of Fred Sampson, deceased, the
property described as follows:

Said Quit Claim Deed also recites that it is the intent of said deed to release
unto parties of the second part those certain restrictions contained in a
certain Contract for Deed dated December 16, 1939, filed December 18, 1939,
in Book 51 of Contracts, page 66 as Document No. 2000955, and incorporated in
a certain Deed dated January 29, 1940, filed February 15, 1940, in Book 1524
of Deeds, page 250.
It appears that two of the grantees named in said Quit Claim Deed are
incorrectly identified. The surname of Dorothy Ceminsky is spelled Ceminsky
instead of Ceminsky. Also said Quit Claim Deed names Dorothy Sampson as a
grantee and it appears that this should have been Donald Sampson. We require
that one of the heirs of Fred Sampson named as grantors in that certain Warranty
Deed dated August 30, 1968, filed October 22, 1968 and recorded in Book 68 of
Hennepin County Records, page 3741689, execute an Affidavit of Identity concerning
said Dorothy Ceminsky and Donald Sampson or that a Quit Claim Deed be obtained
from Dorothy Ceminsky and Dorothy Sampson and their spouses, if any, to the
property described in the aforesaid quit claim deed.
2. Real estate taxes payable in 1968 and prior years are paid. Real
estate taxes payable in 1969 in the amount of $2,119.66 are one -half paid and
one -half unpaid.
This opinion is limited to the matters shown by said Abstract of Title
and the records referred to therein. All matters not so shown are excepted
from this opinion and include (a) rights of any parties in possession, (.b)
possibility of liens for improvements in process or completed on the premises
within the last ninety (90) days, (c) general zoning and building laws and
restrictions, (d) special assessments, (e) matters which an accurate survey
of the premises would disclose, and (f) security interests in crops or fixtures
under Chapter 336, Minnesota. Statutes, not appearing in the Abstract of Title.
