Village Associates of Edina. Inc., a Minnesota corporation, party of the first
part (hereinafter called "Grantor ". whether one or more), and CITY OF EDINA,
a Minnesota municipal corporation (hereinafter called "Edina "), a Minnesota.
municipal corporation (hereinafter called "Edina "), party of the second part;
WHEREAS. Grantor is the owner of all of the property situated in
Hennepin County, Minnesota, and described on Exhibit A attached hereto and
hereby made a part hereof (hereinafter called the "Subject Property "); and
WHEREAS, in connection with the development of the Subject Property,
Edina has requested, and Grantor has agreed to give, the easements and
agreements herein contained.
NOW, THEREFORE, for and in consideration of One and no /100

1. Grant, bargain, sell, convey and warrant to Edina an easement
in perpetuity for all utility and drainage purposes including, but not being

to enter for the purpose of constructing, maintaining, altering, repairing and
reconstructing said utility and drainage systems in, under and upon any and
all portions of the Subject Property now or hereafter. and by any moans, dedi
catod for or subjected to common use (hereinafter called "Common Areas ") °or
the benefit of the owners or occupiers of the Subject Property or of lots or
parcels now or hereafter dosignated on or created by any subdivision or plat
of any portion or all of the Subject Proporty, and also including, but not
being limited to, the right to enter upon the Common Areas to shutoff water
ae and to remove shrubs, sod and troos and to open up and excavate on and

under any part of the Common Areas, including, but not limited to, p.....ing
lots, driveways, or private streets then on said Common Areas, in connection
with the exercise of any rights hereby granted, it being understood that Edina,
in connection with the exercise of any of its rights hereby granted, shall re-
place any shrubs or sod which are or is removed, and repair any such Common
Areas, parking lot, driveway or private street to as nearly as possible the
same condition it was in before such exercise.
2. Agree that the police and fire personnel and equipment of Edina
may, at any time and from time to time, enter upon the Common Areas with such
men and equipment as the police or fire officials of Edina deem necessary or
desirable for the purpose of protecting and promoting the health, welfare and
safety of the general public or those using, or having the right to use, the
Common Areas.
3. Agree that no trees shall be planted on any of the Common Areas
without the prior written consent of Edina, the purpose of this covenant being

to prevent location of trees so as to hamper, hinder or increase the costs of
construction and maintenance of utilities and drainage systems located in, under
or upon the Common Areas.
4. That the provisions of this Easement shall be deemed covenants
running frith the.land and shall bind all present and future owners and encrum-
brancers of the Common Areas, and inure to the benefit of Edina and its successors
and assigns.
S. That reference herein to Grantor shall mean and include all persons
named as Grantor, whether one or more, and shall be binding on each and all of
said persons and their respective heirs, successors and assigns.
This instrument is exempt from State Deed Tax.
