THIS INDENTURE, Made this day of > 1975, .
between GRANDVIEW CONSTRUCTION COMPANY, a corporal under the laws of the
State of Minnesota, party of the first part, and the CITY OF EDINA, a muni-
cipal corporation under the laws of the State of Minnesota, party of the
second part,
WITNESSETH, That the said party of the first part, in consideration
of the sum of One ($1.00) Dollar, and other good and valuable consideration,
to it in hand paid by the said party of the second part, the receipt and suf-
ficiency whereof is hereby acknowledged, does hereby Grant, Bargain, Sell,
and Convey unto the said party of the second part, its successors and assigns,
Forever, all the tract or parcel of land lying and being in the County of
Hennepin and State of Minnesota, described as follows, to -wit:
Tract C, Registered Land Survey No. L- ,
Files of the Registrar of Titles, Hennepin
County, Minnesota,
subject to restrictions, reservations, and easements of record, if any.
Subject also to the reservation of an easement for the benefit of Tract B,
said Registered Land Survey, of an underground easement 30 feet in width for
the water line for fire purposes and the gas line now constructed under said
Tract C, including the right to construct, reconstruct, maintain, and repair
the same; provided, however, that in connection with any such construction,
reconstruction, maintenance, or repair, the parties doing such work shall
interfere with the surface of said Tract C and the use thereof as little as
possible, and shall_ promptl, replace, repair, and restore, at their own cost,
any and all damage done to said Tract C, including, but not limited to,
restoration and replacement of all hardtop surfacing, curbs, and gutters,
and any and all shrubbery, trees, and other landscape materials, and if not
promptly done, party of the second part, its successors and assigns, may do
the same, and all costs incurred in so doing, including any attorneys' fees,
with interest thereon at eight, (8%) per cent per annum from the date incurred
until paid, shall be paid upon demand, and shall be recoverable in a civil
action from the then record owners of said Tract B.
Party of the second part, by acceptance hereof, for itself and for
its successors and assigns, does hereby agree:
1. That if party of the second part, its successors or assigns,
should ever cease to use the above described property for public parking,
driveway, and pedestrian purposes, with related landscaping, then party of
the second part, its successors and assigns, shall convey the above described
property, by quit claim deed, to the then fee owners of record of Tract B,
Registered Land Survey No. Files of the Registrar of Titles,
Hennepin County, Minnesota, in exchange for the sum of Sixty five thousand
four hundred eighty ($65,480) dollars to be paid to the party of the second
part, its successors or assigns, in cash. Said conveyance shall be subject
(a) to any and all then unpaid installments of special assessments, and (b)
to a reservation by party of the second part, its successors and assigns, for
the benefit of Tract A, said Registered Land Survey, and for general public
use, of perpetual easements thirty (30) feet in width for the construction,
reconstruction, maintenance, and repair of all gas lines, water lines, sewer
lines, and other utility lines then located in, on, or under said Tract C,
the exact description of which easements shall be determined by party of the
second part, its successors or assigns, and inserted in the deed prior to
delivery.
2. To convey to the same record fee owners to whom said Tract C
is to be conveyed pursuant to the foregoing paragraph 1, and at the same time,
by quit claim deed, all of the right, title, and interest of party of the
second part in and to that part of Brookside Avenue as shown on the plat of
Grand View Heights filed in the office of the Register of Deeds, Hennepin
County, Minnesota, which lies between the Easterly extensions across said
Avenue of the Northerly and Southerly lines of said Tract C, but subject to:

(a) The reservation of a perpetual, nonexclusive easement for
roadway purposes, for the benefit of the owners and occupants of the East 90
feet of Lots 11 to 19, inclusive, and Lots 2 to 10, inclusive, Block 2, said
plat of Grand View Heights, over and across that portion of said Brookside
Avenue so conveyed which�'lies South of the North line of Lot. 6, Block 3,
said plat of Grand View Heights, extended Easterly across said Avenue;
(b) Public road easements, if any;
(c) Unpaid installments of special assessments, if any;
(d) The reservation of perpetual easements for the benefit of
Tract A, said Registered Land Survey, and for general public use, 30 feet
in width for the construction, reconstruction, maintenance, and repair of all
gas lines, water lines, sewer lines, and other utility lines then located in,
on, or under said portion of Brookside Avenue so conveyed, the exact descrip-
tion of which easements shall be determined by party of the second part, its
successors or assigns, and inserted in the deed prior to delivery.
TO HAVE AND TO HOLD the said Tract C, Together with all the heredit-
aments and appurtenances thereunto belonging, or in anywise appertaining, to the
said party of the second part, its successors and assigns, Forever. And the said
GRANDVIEW CONSTRUCTION COMPANY, party of the first part, for itself and its
successors, does covenant with the said party of the second part, its successors
and assigns, that it is well seized in fee of the lands and premises aforesaid,
and has good right to sell and convey the same in manner and form aforesaid,
and that the same are free from all incumbrances except as hereinabove set out._.
And the above bargained and granted lands and premises, in the quiet
and peaceable possession of the said party of the second party its successors
and assigns, against all persons lawfully claiming or to claim the whole or
any part thereof, subject to incumbrances, if any hereinbefore mentioned,
the said party of the first part will Warrant and Defend.
