Gentlemen:
Re: The East 16 1/2 feet of Lot 4 and that part
of the North 16 1/2 feet of said Lot 4,
lying West of the East 16 1/2 feet thereof,
Auditor's Subdivision Number 196,
Hennepin County, Minnesota.
We have examined the title to the above- described premises
as shown by an Abstract of Title last certified to March 18, 1981 at
7:00 a.m. by Title Insurance Company of Minnesota. Based upon such
examination, we are of the opinion that as of March 18, 1981 at 7:00 a.m.,
fee title to said premises was vested in PARK METROPOLITAN INVESTMENT
FUND, INC., a Minnesota corporation, free and clear of all liens, charges
and encumbrances, except as follows:
1. The County of Hennepin acquired all right of access to
and from the captioned premises to County State Aid Highway No. 62 except
for the right of access to the frontage road to be constructed in a
Warranty Deed dated November 4, 1965 and filed December 14, 1965 as
Document No. 3580569.
2. Real estate taxes due and payable in 1980 and prior years
have been paid in full. Real estate taxes due and payable in 1981 amount
to Three and 36/100 Dollars ($3.36) and are unpaid. Pursuant to the terms
of the Purchase Agreement, we require that the seller pay these taxes in
full at or prior to closing or that buyer receive a credit of this amount
from the cash due at closing (Property ID: 06 116 21 22 0004.)

3. While no special assessment search was included with the
abstract, the base tax for 1981 is the same as the total taxes shown,
indicating that no special assessments have been included with those taxes.
4. A judgment search was made against "Park Metropolitan
Investment Fun, Inc." rather than against "Park Metropolitan Investment
Fund, Inc." A telephone check with Title Insurance Company of Minnesota
disclosed that there are no judgments, tax liens or bankruptcies against
the latter name. However, we require that the judgment search be corrected
after the closing.
5. All mineral and mineral rights were reserved by the State
of Minnesota in its conveyance of forfeited lands pursuant to tax sale to
Park Metropolitan Investment Fund, Inc., dated August 19, 1977 and filed
January 15, 1981 as Document No. 4618467.
6. The judgment search discloses judgments against the County
of Hennepin and no judgment search was conducted against the State of
Minnesota.
7. A comparison of the original map of the plat of Auditor's
Subdivision No. 196 with a current survey of the relevant portion of said
area reveals the possibility that the road shown on the original plat as
State Highway No. 5 (later known as Vernon Avenue or U.S. Highway No. 169 -212)
was moved to the west since the time the plat map was filed in March of
1929. If the road has been moved to the west, the location of the westerly
boundary of the captioned property would be called into question. Con-
sequently, we require that the following legal description of the 16 1/2
foot strip be used in the quitclaim deed to the City of Edina, which includes
a portion of the original legal description of the 16 1/2 foot strip:
The East 16 1/2 feet of Lot 4, Auditor's Subdivision
Number 196, and that part of the North 16 1/2 feet
of Section 6- 116 -21, lying West of the East 16 1/2
feet of said Lot 4 and lying Easterly of the East right -
of -way line of U.S. Highway No. 169 -212, as the same
existed on November 1, 1943.
This opinion is limited to the matters shown by said Abstract of
Title. All matters not so shown are excepted from this opinion and include
(a) rights of any parties in possession, (b) possibility of liens for
improvements in process or completed on the premises within the last ninety
(90) days, (c) general zoning, building and environmental protection laws,

ordinances, regulations and restrictions, (d) special assessments, (e)
matters which an accurate survey of the premises would disclose, and (f)
security interests in crops or fixtures under Chapter 336, Minnesota
Statutes, not appearing in the Abstract of Title.
With respect to (a) above, we suggest that you satisfy yourself
that no one is in possession of the premises other than the above -named
fee owner, or if any one else is in possession, that he does not claim any
title or interest in the premises. With respect to (b) above, we further
suggest that you satisfy yourself by a visual inspection of the premises
that there have been no improvements in process or completed on the premises
within the last ninety (90) days, or if there have been such improvements,
inquiry should be made to determine that said improvements have been paid
for in full.
Your attention is called to the fact that no examination has
been made of the original records or proceedings referred to in said Abstract
of Title, and this opinion is further subject to any and all matters which
would be disclosed by such an examination.

second part, WITNESSETH:

WHEREAS, the land hereinafter described, having been duly forfeited to the State of Minnesota for
the. nonpayment of taxes, was sold under the provisions of Minnesota Statutes, Sections 282.01 to 282. 12
inclusive, to the party of the second part, and,
WHEREAS, the said party of the second part ham— paid in full the purchase price of said
land and ha S otherwise fully complied with the conditions of said sale and is entitled to an
appropriate conveyance thereof,
NOW, THEREFORE, the State of Minnesota, pursuant to said statutes, and in consideration of the
premises, does hereby grant, bargain, sell and convey unto the said part_ of the second
part its successors k0At and assigns, Forever, the following described land
lying and being in the County of Hennepin , and State of Minnesota, to -wit:
E 16 5/10 ft of Lot 4 and that part of N 16 5/10 ft of said lot lying W of

excepting and reserving to the said state, in trust for taxing districts concerned, all minerals and mineral
rights, as provided by law,
TO HAVE AND TO HOLD THE SAME, together with all the hereditaments and appurtenances
thereunto belonging or in anywise appertaining, to the said part_ of the second
part,_ its successors bWxxand assigns, Forever. No deed tax will be payable on
this conveyance.
