THIS INSTRUMENT, Made as of the '1.0 day of J , 1991, by
and between Semper Holdings, Inc., a Minnesota corporation ( "Grantor "), and the
City of Edina, a municipal corporation organized under the laws of the State of
Minnesota ( "City ");
WITNESSETH, That the Grantor, in consideration of One and No /100
($1.00) Dollar, and other good and valuable consideration, to it in hand paid by the
City, the receipt and sufficiency whereof is hereby acknowledged, does hereby Grant,
Bargain, Sell, Convey and Warrant to the City an easement in perpetuity on, over
and across the property situated in Edina, Minnesota and described on Exhibit A
attached hereto and hereby made a part hereof (the "Easement Area ") for sign and
monument purposes, including the right to enter upon the Easement Area for the
purpose of constructing, maintaining, altering, repairing, replacing and
reconstructing a sign and /or monument. The sign and /or monument
above - referenced and to be constructed and maintained on the Easement Area as
above provided, shall be in substantially the shape, design and size shown on
Exhibit B attached hereto and hereby made a part hereof, and shall be of such color
or colors as is determined, from time to time, solely by City.
The City, by acceptance of this easement, hereby agrees to maintain the
sign and /or monument in good condition and repair. The City shall promptly
repair any damage to the Easement Area or other property of Grantor around the
Easement Area which is caused by the installation, repair or presence of the sign
and /or monument, and which is due to the act or negligence of City, its contractors,
employees, agents or representatives. The City shall at all times hold Grantor, and
its successors, assigns and tenants, harmless from any damages and reasonable costs
which are caused by the installation, repair or presence of the sign and /or
monument in the Easement Area and which are due to the act or neglect of City, its
contractors, employees, agents or representatives.

SUBORDINATION
The undersigned being the holder of liens on and interest in the
Easement Area described in the Sign and Monument Easement to which this
Subordination is attached pursuant to the following described documents:
Combination Mortgage Deed, Assignment of Rents, Security Agreement and
Financing Statement filed October 17, 1990, in the office of the County
Recorder, Hennepin County, Minnesota, as Document No. 5712659
does hereby agree that the liens and interests created by such documents, and all
renewals, modifications and extensions thereof, are and shall be subordinate to the
easement rights granted to the City of Edina by +.he Sign and Monument Easement
to which this Subordination is attached.
