Whereas, Ameritas Lif e Insurance Corp. Mortgagee of certain real estate
located at 5108 -5120 Edina Industrial Boulevard, in HennepinCounty, Minnesota, pursuant to
that certain Mortgage filed as Document Number 5765543 in the office of
the Hennepin County Recorder, affecting land legally described as Lot 3, Block 1, EDINA
INTERCHANGE CENTER SIXTH ADDITION, does hereby consent to that certain easemnet in
_favor of the City of Edina filed as Document Number
in said office of said County Recorder; and
Whereas, said Mortgagee does hereby recognize and agree that its interest in the Subject
Property is subject to the easement to the City of Edina, therein contained and agrees that should
it foreclose its mortgage(s) on the property, or take a deed in lieu of foreclosure, it will take title
subject to said easement.

PROPOSED RIGHT OF WAY EASEMENT "A"
An easement over, under and across that part of Lot 3, Block 1, EDINA
INTERCHANGE CENTER SIXTH ADDITION, according to the recorded plat thereof,
Hennepin County, Minnesota, lying northerly of the south 11.00 feet of said Lot 3; lying
southwesterly of Line "A" described below and lying northeasterly of Line "B" described
below.
Line "A"
Line "A" is described as commencing at the southwest corner of said Lot 3; thence on
an assumed bearing of North along the west line of said Lot 3 a distance of 37.62 feet
to the point of beginning of said Line "A "; thence South 45 degrees 14 minutes 03
seconds East a distance of 37.50 feet to a point distant 26.62 feet east of said west line
of Lot 3 and 11.00 feet north of the south line of said Lot 3 and said Line "A" there
terminating.

An easement over, under and across that part of Lot 3, Block 1, EDINA
INTERCHANGE CENTER SIXTH ADDITION, according to the recorded plat thereof,
Hennepin County, Minnesota, described as commencing at the southwest corner of
said Lot 3; thence on an assumed bearing of North along the west line of said Lot 3 a -
distance of 37.62 feet; thence South 45 degrees 14 minutes 03 seconds East a
distance of 37.50 feet along a line hereinafter referred to as Line "A" to a point distant
26.62 feet east of said west line of Lot 3 and 11.00 feet north of the south line of said
Lot 3, being the point of beginning of the easement to be described; thence North 89
degrees 32 minutes 23 seconds East, along the north line of the south 11.00 feet of
