THIS INSTRUMENT, made this day of c,�, 2000, by
and between STEWARDSHIP PROPERTIES IV, A LIMITED PARTNERSHIP under the
laws of the State of Minnesota, party of the first part, and the CITY OF EDINA, a
municipal corporation organized under the laws of the State of Minnesota, party of the
second part;
WITNESSETH, that the said party of the first part, in consideration of Thirty
Thousand and No /100 Dollars ($30,000.00), to them in hand paid by the said party of
the second part, the receipt whereof is hereby acknowledged, does grant, bargain, sell,
convey, and warrant to said party of the second part an Easement in perpetuity for
public road purposes, in, under, and over the following described property situate in the
County of Hennepin and State of Minnesota, to wit:
Right of Way Easement for 5100 Edina Industrial Boulevard as follows:
See Exhibit "A" attached hereto, and by this reference, made a part thereof.

THIS INSTRUMENT, made this day of c,�, 2000, by

laws of the State of Minnesota, party of the first part, and the CITY OF EDINA, a
municipal corporation organized under the laws of the State of Minnesota, party of the
second part;
WITNESSETH, that the said party of the first part, in consideration of Thirty

WITNESSETH, that the party of the second part, its successors, assigns and
transferees, agrees to indemnify, defend and hold harmless the party of the first part, its
successors and assigns, from any liability or damage of any nature whatsoever which
shall or may arise out of or in connection with the use of the Easement granted herein,
subject to applicable statutory limitations.
IN WITNESS WHEREOF, the said party of the first part has caused this instrument
to be duly executed the day and year first above written.

PROPOSED RIGHT OF WAY EASEMENT
An easement over, under and across the south 11.00 feet of Lot 7, Block 6, EDINA
INTERCHANGE CENTER, according to the recorded plat thereof, Hennepin County,
Minnesota.
Together with that part of said Lot 7 lying southeasterly of a line drawn from a point on
the east line of said Lot 7 distant 26.35 feet northerly of the southeast corner of said Lot
7 to a point on the south line of said Lot 7 distant 25.91 feet westerly of said southeast
corner of Lot 7.
