For good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, JANCO, INC., a Minnesota corporation ( "Grantor "), hereby grants and conveys
to the City of Edina, a Minnesota municipal corporation ( "Grantee "), a non - exclusive easement
for the installation of underground utility lines and for drainage purposes over, under, through and
across the real property located in the County of Hennepin, State of Minnesota and legally
described in Exhibit A attached hereto (the "Easement Area "). The utility installations and
drainage improvements shall be constructed, and at all times maintained and repaired by Grantee.

EASEMENT AREA
An easement for drainage and utility purposes over, under and across that part of Lots 3
and 4, Block 1, Brendan Glenn, Hennepin County, Minnesota, described as follows:
Beginning at a point on the westerly line of said Lot 3, distant 35.59 feet northerly of the
southwest corner of said Lot 3; thence South 03 °53'08" East, assumed bearing, along said
westerly line of said Lots 3 and 4, a distance of 58.43 feet; thence North 89°41'54" East,
82.30 feet; thence North 82 014105" East, 75.59 feet to the westerly right of way line of
Brendan Court; thence northerly, along said westerly line of Brendan Court, to its
intersection with a line which bears South 82046113 " East from the point of beginning;
thence northwesterly, along last described line, to the point of beginning.

CONSENT TO EASEMENT
The undersigned, being the holder of that certain mortgage dated October 3, 2000,
recorded with the County Recorder in and for Hennepin County, Minnesota as Document No.
hereby consents to the within Easement made by Janco, Inc.,
to which this Consent is attached and hereby consents to and joins in the grant of easements set
forth therein and agrees that the easements, covenants and agreements contained therein shall
survive foreclosure of said mortgage.
IN WITNESS WHEREOF, the undersigned has made and executed this Consent to
Easement Agreement effective as of January _I __, 2001.
