A permanent easement for Public Walkway purposes over and across the South 5 feet of the North 7 feet of the
West 8 feet of Lot 1, Black 1, Edina Office Center 3rd Addition, according to the recorded plat thereof, Hennepin
County, Minnesota.
"It is the intention and agreement of the parties hereto that the Grantee shall in the construction and
maintenance of the public right -of -way, public utilities and public sidewalk within the easement areas, repair
and replace all damage to any landscaping, private utilities, curbs, driveways and improvements in connection
with such construction or n.wintenarce work, to as nearly as possible the same condition as before such
construction or maintenance."
NOW THEREFORE, until the parties hereto agree otherwise in writing, the City Of Edina shall maintain and
repair all improvements and equipment installed and constructed by it in the easement areas, including all
signals, public walkways and public right -of -way, in good and operating condition without cost to the property
owner and shall hold the property owner and its officials, officers, employees, agents, representatives and
contractors harmless from and indemnified against any loss, cost or damage or expense, including, without
limitation, reasonable attorney's fees whether suit be brought or not, due to any claim or demand arising out of
or claimed or alleged to arise out of, the negligence of Edina, its employees, officers, agents, representatives or
contractors in so maintaining repairing, or failing to so maintain and repair, the improvements and equipment
within said easement arrears."
All of the provisions hereof shall run with the land and shall extend to and bind the successors,
representatives, grantees or assignta of the respective parties hereto.
