RECITALS A. Declarant is the owner of the real estate located in Hennepin County, Minnesota, legally described on Exhibit A hereto (hereafter referred to as the "Real Estate"), The Real 1 -state does not include any shoreland as defined in Section 103F.205 of the Minnesota Statutes. B. Declarant intends to develop the Real Estate as a residential cooperative development. C. Declarant wishes to establish the Real Estate as a cooperative common interest community under the Act. D. The common interest community hereby created is not subject to a master association. NOW, THEREFORE, Declarant hereby creates and establishes a cooperative common interest community known as Gramercy Club of Edina (the "Cooperative ") and declares that so long as the Association owns fee simple title to the Real Estate that the Real Estate is and shall be held, transferred, conveyed, sold, leased, occupied and developed subject to the Act, and subject to the covenants, conditions, restrictions, easements, charges and liens set forth in this 2 Declaration, which shall run with the Real Estate and shall be binding on all parties having any right, title, or interest in the Real Estate, including rights of occupancy of any nature or leasehold i interests therein. 1. - Definitions. Terms used herein shall have the meaning ascribed to them in the Act. The following are supplemental definitions, especially applicable to this Declaration: a) "Association" shall mean Gramercy Club of Edina, a Minnesota cooperative corporation, incorporated on September 26, 2005, pursuant to Minnesota Statutes, Chapter 308A. b) "Board of Directors" shall mean the Board of Directors of the Association. C) "Living Unit" shall mean a residential housing unit consisting of a group of rooms and hallways which are designated or intended for use as living quarters for an individual, family, or other persons living together. d) "Member" shall mean any person holding membership in the Association. The Cooperative is intended to be occupied by persons age 55 or older and the Association will limit members to natural persons who have attained age 55 or older, or have a spouse age 55 or older to the extent necessary to assure that at least 80% of the Living Units in the Cooperative are occupied by natural persons who have attained age 55 or older, or have a spouse age 55 or older. No one under the age of 45 will be allowed to be a member of the Association unless that person has a spouse age 55 or older. C) "Occupancy Agreement" shall mean the agreement between the Member and the Association describing the terms and conditions under which the Member will occupy a specified hiving Unit. 3 2. Association Governance. The Association shall be governed by the Board of Directors. 3. Living Unit Boundaries, Common Elements. The boundaries of the Living Units shall be the walls, floors and ceilings of each Unit, as described in further detail in Section 51513.2 -102 (b) of the Act. The identification of each Living Unit is reflected in the site plan attached as Exhibit B hereto, which Exhibit B is a scale drawing showing the perimeter wails and designation of each Living Unit created by this Declaration. All of the legally described property not designated as Living Units constitutes the Cooperative's common elements and limited common elements as defined in Section 515B.2 -102 subd. (d) through (f) of the Act.. All of the Units will be residential units. There will be no units for nonresidential uses. 4. Members' Interests Constitute Personal Property. The Members' respective interest in all Living Units and their allocated interest shall be considered as personal property. 5. Allocation of Interests to Each Living Unit. Each Living Unit's "Ownership Interest" in the Association and share of the common elements and common expenses of the Association (exclusive of the Living Unit's share of the real estate taxes) shall be a fraction, the numerator of which is the value of the Living Unit and the denominator of which is the total value of all Living Units in the Cooperative. The table attached hereto as Exhibit C sets forth the value allocated to each Living Unit/Membership and the proportionate factor of unit value to the total value of the Living Units in the Cooperative. Votes of the Members in the Association are hereby allocated to each Living Unit based upon a fraction the numerator of which is one (1) and the denominator of which is the total number of Living Units in the Cooperative, which as of the date of this Declaration is 126. 4 6. Residential Living Units. The Cooperative currently consists of 126 Living Units and may consist of a maximum of 128 Living Units. 7. Prohibition Against Subdivision of Living Units. No Living Unit may be subdivided except Living Unit 425 and Living Unit 218 can each be subdivided in two (2) Living Units provided that such subdivision is approved by the Board of Directors. Notwithstanding the foregoing, Declarant shall have the right to subdivide any Living Unit not previously occupied by a Member provided that such subdivision is approved by the Board of Directors. There shall never be more than 128 Living Units. 8. Prohibition Against Time Shares. No Living Unit may be converted to the time share form of ownership. 9. Right to Add Additional Real Estate. Declarant does not reserve the right to add additional real estate to the Cooperative. 10. Carrying_ Charges; Assessments. Subject to the terms of the Occupancy Agreement executed by each Member, each Member agrees to pay to the Association a monthly r sum equal to one - twelfth (1 /12th) of the Member's share of the sum required by the Association, as estimated by the Board of Directors, to meet the annual expenses pertaining to the Cooperative, the Association or other facilities which the Member is entitled to utilize. At the Member's sole cost and expense, the Member shall be responsible for: M 1) any repairs, maintenance or replacements necessitated by the Member's own negligence or misuse of the Living Unit or the common elements of the Cooperative; Z) any redecoration of the Member's own Living Unit over and above decorations covered by the reserve for replacements maintained by the Association; 3) any repairs, maintenance or replacements required on the following items: (i) furnishings, household goods, and personal property owned by the Member; (ii) appliances that are in addition to the range microwave, refrigerator, disposal and dishwasher, washer and dryer, furnished by the Declarant or Association or any upgrades thereof; and (iii) window treatments, wall coverings, and floor coverings that are in addition to those furnished by the Declarant or Association or any upgrades thereof; 4) any replacements to any range, microwave, refrigerator, disposal and dishwasher, washer and dryer, window treatments, wall coverings, and floor coverings upgraded over and above that covered by the reserve for replacements maintained by the Association. b. Repairs, Maintenance and Replacements by Cooperative. The Association shall provide and pay the cost of any repairs, maintenance and replacements of the exterior of all Living Units, decks and garages and other common elements, except as specified in (a) above. C. Lawn and Planting Maintenance; Patios. The Association shall mow, trim, water, rake and otherwise maintain, all to the extent the Board of Directors deems necessary or desirable, all lawns and exterior plantings. The Association may elect not to 6 maintain 'gardens and plantings established by individual Members, but to the extent the Association undertakes to do so, it will not be responsible for any damage to such gardens and plantings due to over watering, under watering or improper watering. All plantings shall be subject in each instance to the Board of Dircctors' right to disapprove plantings and locations which would be disharmonious. d. Services. The Association may obtain and pay for the services of any persons or entities, to manage its affairs, or any part thereof, to the extent it deems advisable, as well as such other personnel as the Association shall determine to be necessary or desirable for the proper operation of the Cooperative, whether such personnel are furnished or employed directly by the Association or by any person or entity with whom or which it contracts. The Association may obtain and pay for legal and accounting services necessary or desirable in connection with the operation of the Cooperative or the enforcement of this Declaration. The Association may arrange with others to furnish trash collection and other common services to each Living Unit. C. Personal Property for Common Use. The Association may acquire and hold for the use and benefit of all of the Members tangible and intangible personal property and may dispose of the same by sale or otherwise. Such beneficial interest shall not be transferable except with the transfer of title to a Living Unit, provided that a Member may delegate his right of enjoyment of such personal property to residents of his Living Unit. A transfer oi' title to a Living Unit shall transfer to the transferee ownership of the transferor's beneficial interest in such property in accordance with the purpose for which it is intended, without hindering or encroaching upon the lawful rights of other Members. The transfer of title to a Living Unit 7 i j under foreclosure shall entitle the purchaser to the beneficial interest in such personal property associated with the foreclosed Living Unit. f. Utilities/TV. The Association shall provide water, sewer, and trash re�:,oval to serve the Living Units and common elements as it dee^:s reasonable and necessary, the cost of which services shall be included in the monthly service charge to the Members) occupying the Living Units. The cost of basic cable TV and high speed intereet shall be included in the monthly service charge to Member(s) occupying the Living Units. The Members) occupying the Living Units shall arrange and pay for telephone services directly. The Member(s) shall be billed directly for heat and electricity serving their respective Living Units by the supplier of these services. 12. Insurance, Casualty, Condemnation and Rebuilding. a) Association's Policies. Section 5158.3 -113 of the Act requires the Association to maintain casualty insurance coverage on the common elements and, because Living Units in the Cooperative share contiguous walls, siding and roofs, also on the Living Units. The same section also requires general liability coverage, authorizes the Association to carry any other insurance it considers appropriate, specifies minimum notice ii om an insurer prior to cancellation, specifies other provisions for such insurance, requires the Association or an insurance trustee to adjust all losses, and describes the Association's duty with respect to repair or rebuilding after casualty to common elements or Living Units. The provisions of the Act described in this paragraph may not be varied or waived, but are hereby supplemented, as follows: (i) The Association shall carry worker's compensation insurance whenever it has eligible employees. U-1 (ii) The Association may carry fidelity insurance and shall do so whenever required by a holder, insurer or guarantor of a mortgage. (iii) The Association may enter into binding agreements with one or more holders, insurers or guarantors of mortgages obligating the Association to keep specified coverages in effect for specified periods and to notify a holder, insurer or guarantor of any changes to coverage. b) individual Policies of Members. Each Member may elect to carry insurance for his own benefit insuring his personal liability, furniture, furnishings, and other personal property supplied or installed by him or a previous Member. c) Betterments. In all events, betterments or improvements made subsequent to the original construction by any Member to his Living Unit shall be the responsibility of the Member to insure separately (or by rider to a blanket policy at the consent of the Association) if he desires the same insured. If the Trustee or mortgagee undertakes the reconstruction or remodeling of a Living Unit, deck or garage as above provided, the same need be restored only to substantially the same condition as the Living Unit, deck or garage was as of the completion of original construction. d) Condemnation. Section 51513.1 -107 of the Act governs the manner of handling any losses or proceeds from the acquisition by eminent domain of all or any portion of the Real Estate, the Living Units, or the Cooperative's common elements. c) Disposition of Proceeds from Insurance or Condemnation Award Proceeds. All proceeds from casualty insurance policies held by the Association or condemnation awards relating to the common elements and the Cooperative shall be allocated to the owners of the Living Units in accordance with Section 5 hereof. 9 13. General Restrictions. a) Living Unit Restrictions. No Living Unit shall be used for purposes other than as a single residential Living Unit, nor shall any trade or business of any kind be ca,L,cd on within a Living Unit, nor shall any Living Unit or any part thereof be leased, sublet, assigned or suffered to be used for hotel or transient occupancy, provided that none of the following activities shall be considered a violation of this covenant: (i) The maintenance of a business and sales office and model Living Units by the Declarant; (ii) The maintenance of an office by the Association or its designated manager for purposes of management of the Cooperative; (iii) Lease or rental of a Living Unit for purposes consistent with this Declaration. (iv) The use of a Living Unit by a Member for home office or studio uses which are incidental to the principal residential use of the Living Unit, which do not invite or generate regular or frequent visits by clients, customers, employees, co- workers or the public, and which do not alter the residential character of the Cooperative; and (v) Any Association- sanctioned event. b) Prohibition of Damage and Certain Activities. Nothing shall be done or kept in any Living Unit or any part thereof which would increase the rate of insurance for the Cooperative or any part thereof over what the Association, but for such activity, would pay, without the prior written consent of the Board. Nothing shall be done or kept in any Living Unit or any part thereof which would be in violation of any statute, rule, ordinance, regulation, pen-nit or other validly imposed requirement of any governmental body. No damages to, or waste of, i 10 the exterior of the Cooperative shall be committed by any Member or any invitee of any i Member, and each Member shall indemnify and hold the Association and the other Members harmless against all loss resulting from any such damage or waste caused to the Cooperative or other Members by such Member or the Member's Invitees. No noxious, destructive or offensive activity shall be allowed in any Living Units or any part thereof, nor shall anything be done thereon which may be or may become a nuisance to any other Member or to any other person at any time lawfully residing in the Cooperative. No heating devices, refrigeration equipment, or other machinery which causes vibrations detectable from outside the Living Unit, is fuel- fired, or is otherwise inherently dangerous, noxious, or noisy, shall be installed or operated within any hiving Unit. 0 Rules and Regulations. The Board of Directors from time to time shall adopt and may modify such rules and regulations governing the use, maintenance and enjoyment of the Real Estate, and the conduct of persons using the Real Estate, as the Board of Directors in its reasonable discretion deems desirable or necessary to implement the intent of this Declaration. d) Transfer. The member's interest in the Association may be transferred only in accordance with the Bylaws of the Association. 14. Amendments. The Act specifies the requirements for amending the Declaration. In addition to the other requirements contained herein for amendment of this Declaration and the Bylaws, the written joinder and consent of the Declarant shall be required for any amendment of either the Declaration or Bylaws which shall abolish, diminish or restrict the Declarant's rights hereunder to complete improvements, to maintain signs and management offices and models or I to maintain signs and advertise the Cooperative. This right may be waived in whole or in part at any time by recording a written waiver executed and acknowledged by the Declarant. 15. Miscellaneous. a) ht to Cu. re In the event that any Member violates any covenant or fails to perform any condition contained in this Declaration, the Association may perform the act, remove the defect or correct the violation upon thirty (30) days written notice to the Member. If the Association so acts on behalf of a Member, the Association may levy an assessment against the Membcr's Living Unit for the cost of the performance or correction as a Maintenance Assessment as provided in Section 11. b) Association Acts through Board. The power and authority of the Association as provided in the applicable statutes, the Declaration, Bylaws, and rules and regulations shall be vested in a Board of Directors elected by the Members in accordance with the Bylaws of the Association. The Association shall act through the Board of Directors and the officers elected by the Board of Directors; accordingly, all references in the Declaration and Bylaws to the Association shall mean the Board of Directors acting for the Association, unless action by the vote of the Members is expressly required by the Declaration or Bylaws. C) Notices. Any notice required to be sent to any Member of the Association under the provisions of this Declaration shall be deemed to have been properly sent when mailed, postage prepaid, to the last known address of such Member appearing on the records of the Association at the time of such mailing. In the case of multiple owners of a Living Unit, notice to any one of such owners shall be deemed notice to all. d) Captions. The Article and Section headings are intended' for convenience only and shall not be given any substantive effect. Wa e) Compliance with Local Law. To the best knowledge of the Declarant, Declarant has complied with local ordinances. ib. Declarant's Reserved Rights. Declarant reserves the following rights: a) to complete improvements indicated on the plans attached as Exhibit 13; b) to maintain sales offices, management offices, signs advertising the Cooperative, and models; c) to use easements through the common elements for the purpose of malting improvements within the Cooperative; d) to appoint or remove any officer or director of the Association during any period of Declarant control. 17. Period of Declarant Control. Declarant shall control the governance of the Cooperative and shall appoint and remove the officers and directors of the Association until the earliest of the following events: (i) three years after the date of the first conveyance of a Living Unit to a unit owner other than the Declarant, (ii) the Declarant's voluntary surrender of control by giving written notice to the unit owners pursuant to Minnesota Statutes, Section 515B.1 -115, or (iii) the conveyance of 75 percent of the Living Units to unit owners other than a Declarant.
