This U01ity Easement Agreement (the "Agreement" is entered into by and
between the trustees of the Revocable Trust No. 2 of Carp R. Pohlad dated May 28,
1993, as subsequently amended and restat 0(m antor') and Interlachen Country Club,
a Minnesota corporation ("Grantee") on this ay of December, 2009.
WHEREAS, Grantor owns the real property legally described on ENbIbLA
attached to this Agreement ("Grantor Parcelal and Grantee owns the real property
legally described on Exhibit a ("Grantee Parcel') attached to this Agreement.
WHEREAS, Grantee operates a golf course on the Grantee Parcel and desires
to construct restroom facilities thereon as described in this Agreement For such
purpose, Grantee has requested that Grantor grant an 8awnent over a portion of the
Grantor Parcels as more fully described In this Agreement.
NOW, THEREFORE, for good and valuable consideration, the receipt and
sufficiency of which Is hereby acknowledged, Grantor hereby grants and conveys to
Grantee a non - exclusive easement for the installation, repair, replacement and
maintenance of an underground sewer Ina and an underground water line serving an
approximately, 625 square foot building to be located on Grantee Parcel and depicted on
Exhibit C attached, hereto, under and through that portion of the Grantor Parcels legally
described in Exhibit D and depicted on Exhibit E• each attached hereto and
incorporateftdrein (the "Easement Areas "). The sewer and water lines shall at all
times be rpplaced, repaired and maintained by Grantee, and Grantee agrees that after
any use of the Easement Areas, Grantee shall restore the Easement Areas or any land
of Grantor adjacent to the Easement Areas disturbed during Grantee's use thereof, to
Ow same condition that existed prior to such use.
All systems, structures, mains, conduits, lines and/or other utilities in the
Easement Areas shall be below the ground level or surface of the Parcel, and shall be
installed, maintained; repaired or Teplaped using the horizontat directional drilling
rhethod, without disturbance of the surface of the EesementArees or arty improvements
located thereon.
The rights granted pursuant to this Agreement must at all times be exercised in
such a manner so as not to unreasonably interfere with. obstruct, impede, or delay the
residential use of the Grantor's property, including, without limitation, ingress and /or
egress to and from said property by Grantor, its employees, agents and invitees.
Grantee agrees to exercise reasonable care to avoid damage to the Easement
Areas and Grantor's property adjacent to the Easement Areas and any and all
improvements that may at any time be thereon or therein. Grandee agrees to indemnify;
defend and hold Grantor harmless from and against any and all loss or liability
(including, but not limited to, reasonable attorneys' fees) resulting from the acts or
omissions of Grantee, its agents, contractors, employees, representatives, licensees or

Invitees in connection with the easement rights and obligations contained herein, or
from any accident, damage, death or injury to persons br property arising from the use
of the Easement Areas as permitted herein for the sewer and water fines constructed or
installed by Grantee within the Easement Areas; provided, however, that Grantee shall
not be obligated to Indemnify Grantor from and against any such matters suffered as a
result of the gross negligence of Grantor, its agents, contractors, employees,
representatives, licensees or invitees. Nothing herein contained shall create any
special duties on the part of Grantor in favor of Grantee except as expressly provided
herein. Furthermore. notwithstanding anything to the contrary, no special relationship
shall exist between Grantor' and Grantee as to the Grantor's performance of the duties,
if any, of the Grantor hereunder or In the maintenance of the Grantor's property.
Nothing contained In this Agreement shall be construed or be deemed • to
constitute a dedication, express or implied, of any part of the Easement Areas to or for
any public use whatsoever.
The Easement Areas are subject to all matters of record: In the event the right,
privilege and easement" granted in this Agreement shall cease to be used for the
purpose granted for a period of twenty (20) consecutive years, all rights granted
pursuant" to this Agreement shall cease and revert to Grantor, its successors and `
assigns, and upon request Grantee shall execute and deliver a quit claim deed or other
instrument releasing of record the Easement Notwithstanding the foregoing, Grantee
shall be deemed to have abandoned the easement granted In this Agreement if
Grantee's initial installation of the underground sewer and water lines has not been
commenced within five (5) years from the date of this Agreement
The easements granted In this Agreement shall constitute covenants running
with the Grantor Parcels, and be appurtenant to the Grantee Parcel, and all provision
hereof (including without limitation the indemnification obligation of Grantee) shaft inure
to the benefit of and be binding upon the undersigned parties and their respective
successors and assigns who become and remain owners of any portions of the affected
parcels.
