It is further understood that The Grange shall be permitted to store its equipment and supplies in the basement area of the Hall and further that The Grange shall have exclusive use of the kitchen except as agreed upon by The Grange. 6. The Grange shall not assign this lease or any interest therein, nor sublease all or any part of the Hall, without, in each case, the prior written consent of Edina. 7. In the event The Grange defaults in any of the terms and conditions hereof to be performed and done by The Grange, and such default continues for a period of sixty (60) days after notice thereof is given by Edina to The Grange, then this lease shall thereupon cease and terminate and The Grange shall promptly remove all of its equipment and supplies from the Hall. B. Any notice hereunder given by Edina to The Grange shall be in writing and mailed to the residence of any then officer of The Grange, but if The Grange has not then given written notice to Edina of the names of its then officers, Edina may mail such notice to any then member of The Grange. Notices so mailed shall be deemed given upon deposit in the United States mail. 1WM s LEASE AGREEMENT THIS LEASE AGREEMENT entered into this ! ( day of 1970 between the Village of Edina, a municipal corporation, of Hennepin County, Minnesota, called Edina, and Minnehaha Grange #398, a MinncE)ta non - profit corporation organized under Chapter 317 of the Minnesota Statutes, called The Grange; WITNESSETH WHEREAS, The Grange has simultaneously herewith executed a Bill of Sale conveying to Edina property described as the Minnehaha Grange Hall, now located on the property known as the Edina Historical Park in the Village of Edina; and, WHEREAS in partial consideration for such conveyance, Edina desires to lease The Minnehaha Grange Hall to The Grange for meetings and other similar or related functions; NOW THEREFORE, for and in consideration of the mutual covenants herein contained the parties agree as follows: 1. Edina agrees to lease to The Grange the building known as The Minnehaha Grange Hall above described for the meetings and other and similar or related functions, without charge, so long as the Grange retains its charter from the National Grange. 2. It is understood that the Hall may at all other times be used only by the Edina Historical Society as a museum and meeting hall and for historical tours and displays, and that Edina may impose such reasonable regulations governing the use of the Hall by the Edina Historical Society and The Grange but such as will not conflict with the use of said Hall by the Grange in its normal activities. 3. Edina agrees at its cost to procure and maintain fire and extended coverage and comprehensive public liability coverage on and for said Hall. The liability insurance shall name the Grange and Edina as co- insured parties. In the event that an additional charge is made to Edina for including The Grange as a co- insured party, The Grange shall, in such event pay the portion of the premium attributable to such increase in cost for naming it a co- insured party. This quitclaim deed was prepared on the basis of the survey signed by Be He Bradley, registered land surveyor, and covers the property which takes the shape of a triangle outlined by three iron monuments. We believe you will be able to identify the property from the enclosed plat. We call your attention to the fact that the deed of August 29, 1934, by which the village acquired this property con- tains this statement: "Said land being hereby conveyed to said second party for municipal and community purposes." It is not entirely clear as to what the effect of this sentence is. We, therefore, were unwilling to have the village give a warranty deed for this property. It is possible that the conveyance to the Grange will violate the intent of this language and, if so, the grantor, viz., Hennepin County, might conceivably have an action for damages. We believe this is extremely unlikely and that the damages in any such case would be insignificant. We, therefore, believe it would be appropriate for the village to convey this property to the Grange by quitclaim deed for the agreed sum, viz., $500. It is our understanding that the village holds an appraisal by three realtors indicating that the property does not have a market value in excess of the specified amount* IN* We return to you herewith the plat and deed referred to above.
