a corporation under the laws of the State of Minnesota, party of the first
part, and the Village of Edina, a municipal corporation organized under
the laws of the State of Minnesota, party of the second part;
WITNESSETH, That the said party of the first part, in consider-
ation of One and No /100 Dollars ($1,00), to them in hand paid by the said
party of the second part, the receipt whereof is hereby acknowledged, do
Grant, Bargain, Sell, Convey and Warrant to said party of the second part
an Easement in perpetuity for all utility and drainage purposes including,
but not being limited to, sanitary sewer, storm sewer, water pipes, in-
cluding the right to enter for the purpose of constructing, maintaining,
altering, repairing and reconstructing said utility and drainage systems
in and over the following described property situate in the County of
Hennepin and State of Minnesota, to -wit:

This instrument is exempt from state deed tax.
It is the intention and agreement of the Parties hereto that
the party of the second part shall in the construction, or maintenance
of said utility and drainage systems replace any shrubs or sod removed
by any excavation in connection with such construction or maintenance
work, in as nearly as possible the same condition as before such excavation.

Dear Mr. Olsons
We have prepared and are enclosing herewith
three copies of page 3 of the sewer easement agree-
ment, having deleted therefrom paragraph 4e in view
of the fact that it seems apparent that there could
be no benefit to the Club in the event the lateral
sewer main referred to in 4e was ever constructed
along the hest side of the premises of the Club.
Therefore, will you please insert these pages
in the agreement after removing therefrom the existing
page 3.
It is our understanding that you will have all
three copies duly executed and thereafter return each
to us for initialing of page 3. If this could be done
tomorrow, I would appreciate it if you could drop
the agreements off at my home which is just north of
the Club. If not, please deliver the executed copies
to me Monday morning.

At a regular meeting of the council in and for the Village of Edina,
Minnesota,, which meeting was duly called and was held on February 14, 1955,
the following resolution was adoptedi
VIUMEAS, the Village of Edina, Minnesota, has heretofore received an
easement in writing for sanitary sewer purposes in which said city is named
as party of the second part, dated January 21, 1955, in which written
easement the course of sanitary sewer trunk line No. 69 and the terms and
conditions of said easement occur, and
VMEREAS, it is the opinion of the members of the council, of the Village
of Edina that the form and content of said easement is in all things fair and
reasonable and that such easement is necessary for the installation of said
sanitary sewer trunk line No. 69, and that it is for the best interests of
the Village of Edina to accept said easement, and
4IRMEAS, it is the consensus of the opinion of the council of the Village
of Edina that said easement be accepted,
NOW TIE;FORE, BE IT RESOLVED, that the form of the sanitary sewer
easement dated January 21, 1955, running from Interlaehen Country Club, a
corporation,, to the Village of Edina, a Municipal corporation, submitted to
the council in and for the Village of Edina by and on behalf of said council
examined and approved, be and the same hereby is approved as to form and
content,
BE IT FURTW,' RESOLVED, that the Mayor and Clerk in and for the Village
of Edina, Minnesota, be and they hereby are authorized, directed and empowered
to execute said sewer easement on behalf of the Village of Edina, Minnesota,
and to affix the official seal of said Village thereto,
