WHEREAS, the Housing and Redevelopment Authority of Edina, Minne-
sota, a body politic and corporate under the laws of the State of Minnesota
(the "H.R.A. "), will I acquire property for, and construct, certain public
i,arking facilities, including a parking ramp, and public utilities, in the City
., Minnesota, and in connection therewith will be purchasing, or will
be instituting a proceeding for the acquisition by eminent domain of, the
property below described; and
WHEREAS, before purchase or acquisition by eminent domain of the
property below described can be completed, it will be necessary for and
advantageous to the H.R.A. to enter upon the property below described for
the purpose of constructing and using said public parking facilities and
public utilities.
NOW, THEREFORE, Twin City Federal Savings and Loan Association,
a United States of America association ( "Grantor "), does hereby grant unto
the Housing and Redevelopment Authority of Edina, Minnesota, a permit, and
the right, to enter upon the property situated in the City of Edina, Hennepin
County, Minnesota, described as follows, to -wit:
The South Half of Lot 34 and the East 13 feet of the South Half of
Lot 35, Auditor's Subdivision Number 172, Hennepin County, Minne-
sota, except -that part thereof lying South of a line drawn parallel
with and 126.0 feet North of the South lines of said Lots 34 and 35,
all according to the recorded plat thereof, Hennepin County, Minnesota,
for the purpose of constructing public parking facilities, including a parking
ramp, and also public utilities, thereon, and thereunder, and including the
* Grantor reserves the right to cancel this permit upon written notice to H.R.A.
if construction of the parking ramp is not commenced by September 1, 1975.
This permit is given upon the expressed understanding that the ramp will be
constructed as shown on the site plan attached hereto as exhibit "A ".
right to continue such construction, and the use of such property for public
parking and public utilities once such construction is completed, without
interruption, hindrance', or delay, pending the completion of purchase thereof
or acquisition thereof by eminent domain, and Grantor does hereby waive and
release the H.R.A. from any and all claims by Grantor, its successors, and
assigns, for trespass due to entry upon and use of the above described prop-
erty by the H.R.A. under this permit.

Grantor, however, does not waive, but specifically reserves, the

the above described property.
2. To appear and offer evidence as to the value of the above
described property, and be heard in said eminent domain proceedings as to
such value.
3. To have an award made by the commissioners appointed in said
proceedings.
4. To appeal from said award and from any verdict rendered as a
result of any such appeal.

IN WITNESS WHEREOF, this permit has been duly executed and delivered
by Grantor this 26th day of June, 1975.

The Housing and Redevelopment Authority of Edina, Minnesota, hereby
accepts the foregoing Permit, subject to all of the terms and conditions therein
set forth, and agrees, diligently and in good faith, to pursue the purchase or
acquisition by eminent domain of the property described in said Permit.
