THIS INSTRUMENT, made this day of It U ,

Minnesota, party of the first part, and the City of Edina, a municipal corporation
organized under the laws of the State of Minnesota, party of the second part:

receipt whereof is hereby acknowledged, does grant, bargain, sell, convey, and warrant
to said party of the second part an easement in perpetuity for public walkway purposes
in, under, and over the following described property situate in the County of Hennepin
and State of Minnesota, to -wit:
An easement for public walkway over and across Lot 2 and Lot 3, Block 1, Southdale
Office Park 2 "d Addition according to the recorded plat thereof, Hennepin County,
Minnesota, described as follows::
Commencing at the Southwest corner of lot 2: thence North along the West line of
said lot 2 on an assumed bearing of North 0 degrees 45 minutes 32 seconds West
f 5.08 feet: thence South 80 degrees 48 minutes 04 seconds East parallel with and 5
feet North of the South line of said lot 2 95.88 feet: thence North 83 degrees 49
minutes 21 seconds East 41.48 feet; thence South 80 degrees 48 minutes 04 seconds
East 90.05 feet to the East line of said lot 2; thence South 0 degrees 42 minutes 58
seconds East 16.24 feet to the Southeast corner of lot 2; thence westerly along the
South line of said lot 2 to the Southwest corner of said lot 2 and there terminating.
Commencing at the Southwest corner of lot 3: thence North along the West line of
said lot 3 on an assumed bearing of North 0 degrees 42 minutes 58 seconds West
16.24 feet: thence South 80 degrees 48 minutes 04 seconds East parallel with and 16
feet North of the South line of said lot 3 distance 37.68 feet; thence Southeasterly
along a tangential curve concave to the Southwest with a central angle of 10 degrees
19 minutes 27 seconds, a radius of 492.93 feet distance 88.82 feet; thence South 52
degrees 37 minutes 50 seconds East distance 37.41 feet; thence Southeasterly along
a non tangential curve concave to the Southwest with a central angle of 09 degrees
49 minutes 18 seconds, a radius of 481.93 feet distance 82.61 feet to the East line of
said lot 3; thence South 0 degrees 42 minutes 58 seconds East distance 5.97 feet to
the Southeast corner of said lot 3; thence westerly along the South line of said lot 3
to the Southwest corner of said lot 3 and there terminating.
As shown on Exhibit A attached hereto and made apart hereof.
Now therefore, until the parties hereto agree otherwise in writing, Edina
shall timely pay all costs of construction of the sidewalks including restoration of any
irrigation, sod or tree replacement that is disturbed in conjunction with said construction,
and from time to time constructed by Edina and maintain the sidewalks in good and
operating condition without cost to the property owner and shall hold the property owner
and its officials, officers, employees, agents, representatives and contractors harmless
from and indemnified against any loss, cost or damage or expense, including, without
limitation, reasonable attorney's fees whether suit be brought or not, due to any claim or
demand arising out of or claimed or alleged to arise out of, the negligence of Edina, its
employees officers, agents, representatives or contractors in so maintaining, or failing
to so maintain, the sidewalk.
All of the provisions hereof shall run with the land and shall extend to and
bind the heirs, successors, representatives, grantees or assigns of the respective
parties hereto.

limitation, reasonable attorney's fees whether suit be brought or not, due to any claim or
demand arising out of or claimed or alleged to arise out of, the negligence of Edina, its
employees officers, agents, representatives or contractors in so maintaining, or failing
to so maintain, the sidewalk.
All of the provisions hereof shall run with the land and shall extend to and
bind the heirs, successors, representatives, grantees or assigns of the respective
parties hereto.
