We regret to advise you of our inability to supply your Water Deter Parts requirements. Early in the war period our Water Meter Division undertook the pro - duction of badly needed war material. The expansion of this war work led to the complete cessation of Deter manufacture when Meter Limita- tion Order No. L -154 was issued early in 1942. War contract commitments precluded the early return to Meter manufac- ture when Order No. L -154 was relaxed in June of 1944. Due to our prolonged absence from the Water Meter filed we announced on January 17 1945 the permanent discontinuance of manufacture -of our line of Federal Water Meters. We produced Internal Meter Repair Parts through- out the war period and through the year of 1946. Effective January 1, 1947 we discontinued Meter Parts production, and we, therefore, are returning your purchase order. Information available to us indicates that the New England 1,4Ieter Repair Company, 23 Herman Street, Worcester, Massachusetts, and the Fred W. Accessibility Simplicity in design provides easy access to all working parts in unit assembly and is a proven characteristic of Badger Meters. For access to the working parts of the Model A -IOT, remove the four bolts at the base, then the bottom plate, and the chamber and gear train assembly is released from the housing. It is made in three sizes, 5/s", 3/4 ", and 1 ". The Working Parts are contained in an outer protecting case and are screened by a tinned copper strainer. All working parts are readily removable. The Measuring Chamber is in three parts, a bronze chamber ring with removable top and bottom plates permitting the replace- ment of these plates or sockets independently of the ring, which is the most satisfactory and economical construction in . the matter of repairs. All chamber part s are thoroughly tin coated. The Disc Piston is made of hard rubber, conical in shape, and provided with a phosphor bronze driving spindle. Reinforced with a steel plate, ensuring great strength with sensitive operation. Intermediate Gear Trains are .made- of - bronze composition, with hard rolled phosphor bronze spindles running in hard rubber bushed bearings and will be furnished in the open wash type or in the oil enclosed ,type as specified. Metal parts thoroughly tinned. . Registers are made with pinions and shafts of nickel brass or phosphor bronze, have enclosing rings, are plated, and are provided with white porcelain enamel dials. They are made either round or straight reading in cubic feet or gallons. External Top Casings are made of bronze composition heavily tin coated, flanges are slotted and are bolted together with special high test bronze bolts and.nuts. Protective Antifrost Bottoms are standard equipment. Register Boxes fit closely over the registers, the glass being held firmly in place by a brass ring. Register Box screws are prop- erly drilled for sealing purposes. All parts are interchangeable and of the highest grade of material and workmanship. I have also received a letter from Mr. Creighton, to which is attached a tax statement addressed to Country Club District Service Company and an application for reduction in the assessed Valu- ation of personal property. signed by Country Club District Service Company. These latter documents are enclosed herewith. I have also obtained from Mr. Moore a copy of the agreement dated July 1, 1947, between the Village of Edina and.Country Club District Service Company and a copy of.the bill of 'sale from the Company dated August 7, 1947, to the Village of Edina. Attached to your letter of March 25, 1948, is a letter from Mr. H. C. Utley dated February 17, 1948, in which he states he believes that it was the understanding of the Council that taxes assessed as of May 1, 1947, due in 1948, would be prorated on the basis of an ordinary commercial transaction wherein the seller would pay the taxes for the year up to the date of sale and the purchaser would assume the taxes for the remainder of the year, which in this case would result in an equal division. j Mr. Utley goes on to suggest that the procedure would be for the Council to cancel one half of the applicable taxes. I do not believe that Mr. Utley is correct on this latter point inasmuch as the Village Council has no power to abate or cancel taxes.. If the con- tract is to be given the interpretation suggested by Mr. Utley it would be necessary for the Village to pay one half of the taxes or permit Country Club District Service Company to pay all of the taxes and're- imburse them for one half thereof. Indirectly, of course, the Village would receive part of the one half thus paid through remittance of its share of the taxes from the'County Treasurer. The amount of the personal property tax statement attached to Mr. Creighton's letter is 0.3:, 8o6.lo. DORSEY. COLMAN. BARKER, SCOTT & BARBER Village of Edina -2- April 5, 1948 The application for reduction in assessed valuation signed by Country Club District Service Company and enclosed herewith requests an abatement of all of the taxes. The reason given for the abatement is stated to be as follows: "In paragraph 7 of the sales contract between the Country Club District Service Co. and the Village the Village agrees that all charges of any nature whatsoever are waived." I have examined the sales contract referred to and find that paragraph 7 provides as follows: "That upon the signing of this agreement all pending litigation between the parties to this agreement shall immediately be dismissed with prejudice without cost to any of the parties; and further that upon the signing of this agreement all of the parties hereto, shall join in the execution of mutual releases absol- ving each other from any debts, claims or demands of any kind or nature whatsoever." I do not believe paragraph 7-quoted immediately above can be properly interpreted so as to have any application to personal property taxes. These taxes as a technical matter are not debts, claims or demands due from Country Club District Service Company to the Village of Edina and it seems apparent to me that the parties in drafting para- graph 7 did not have the question of personal property taxes in mind. If paragraph 7 is inapplicable, reference must then be made to para- graph 1, in which the Company agreed to transfer the water property to the Village free and clear of all liabilities. Furthermore, the bill of sale.dated August 7, 1947, also recites that the property is conveyed free and clear of any lien; charge or encumbrance. Under these circumstances it is my opinion that in so far as the written contracts are concerned, the Village is under no liability to pay any part of the personal property taxes assessed against Country Club District Service Company as of May 1, 1947, due in 1918. As you know, there are statutory provisions which state that where real estate is conveyed prior to January 1 and no provision is made with respect to taxes, the purchaser assumes the taxes on such real estate which come due thereafter. There is no similar statutory provision with respect to personal property taxes. DORSEY, COLMAN. BARKER, SCOTT & BARBER Village of Edina -3- April 5, 1948 While we are familiar with cases in which the purchaser of personal property has agreed to pay part of the personal property taxes where the purchase is made between May 1 and December 31, I do not believe that any fixed and well recognized commercial custom exists with respect to this matter so as to afford a sufficient basis for modification of the written contract. of course'. if, as Mr. Utley states, it was understood and agreed between Country Club District Service Company and the Council that the Village would pay one half of the taxes, and if such understanding can be proved or will be recognized by the Council, I can see no reason why the agreement should not be carried out. As already pointed out, the method of carrying out the agreement would not be that suggested by Mr. Utley, but would be for the Village to pay one half of the taxes or to credit'Country Club District Service Company with one half of the taxes. I call your attention to the fact that the application for reduction of taxes signed by Country Club District Service Company and sent to me by Mr. Creighton 'is not an application directed to the Village Council, but is directed to the County Board and County Auditor of Hennepin County. Whether or not this application should be filed in my opinion is a matter to be determined by Mr. Gaarden. Mi. Creighton points out that Mr. Gaarden takes the stand that the sale was practically made before May 1, although the papers were not signed until later, and that it was his understanding that there would be no taxes assessed against him. Inasmuch as Mr. Gaarden retained the revenue and control of the property until July 1, the mere fact that there were rather definite negotiations looking toward the purchase of the property by the Village would not in my opinion be sufficient to establish exemption of the property as of May 1. It is clear that the Village Council does not have the power to grant tax exemption unless the facts are sufficient to support such exemption. His question was in respect to the personal property and real estate taxes on the roperty which was taken over as you.know on July 1, 197. While the contract purchase did.not specifically mention taxes, I believe it was our understanding that taxes would be..prorated on the basis of an ordinary commercial transaction, wherein the seller would pay the taxes for the year up to the date of sale, and the purchaser would assume the tax for the remainder of the year, in this case the division being fifty per cent each, and this would be a fair and equitable way to handle this transaction.
