HomeMy WebLinkAbout1937 VILLAGE OF EDINA_BILL OF SALE-Country Club Water & Sewer Infrastructurer is B I LL OF SA LE KNOW ALL MEN BY THESE PRESENTS: That Country Club District Service Company, a Minnesota corporation, of the County of Hennepin, State of Minnesota, and Oscar Gaarden, parties of the first part, for and in consideration of the sum of One Hundred Thirty -three Thousand.Four Hundred Forty - eight and no/100 ($133,448.00) Dollars lawful money of the United States of America, to them in hand paid at or before the signing and delivery of these presents by the Village of Edina of the- County of Hennepin; State of Minnesota, of the second part, the receipt whereof is hereby acknowledged granted., bargained, sold and delivered, and by these presents do grant, bargain, sell and deliver unto the party of the second part, all of the following goods, chattels and property, to -wit: All of the mains, tanks, wells, pumps, hydrants, and similar personalty which comprise the com plete waterworks system now supplying the Vil- lage of Edina with water; all tools, office equipment,.meters, stock, pipe fittings, and other materials, all as set out in Schedule 1, attached hereto. To have and to hold the said goods, chattels, and property unto the said party of the second part, to and for its own proper use forever. And the said parties-of the first part do re- present and vouch themsleves to be the true and lawful owners of the said goods, chattels, and property, free and clear of any lien, charge or encuiib rance, and to have in - themselves full power, good right and lawful authority to dispose of the said goods, chattels, and property in manner aforesaid, and said parties of the first part covenant and agree to and with the said party of the second part to warrant and defend the said goods, chattels, and property to the said party-of the second part against the lawful claims and demands of all and every person and persons whomsoever. SURRENDER OF WATER SYSTEM FRANCHISES WHEREAS, on November 1, 1923, the Village Council of the Village of Edina, did ordain and adopt a certain ordinance granting to Country Club District Ser- vice Company, a corporation organized under the laws of Minnesota, its successors and assigns, the right and privi- lege to install, maintain and operate a water system for a period of twenty -five years from November 1, 1923, within certain legally described territory,, all situate in the Village of Edina, County of Hennepin, State of Minnesota, and WHEREAS, on October 11, 1937, the Village Council of the Village of Edina .did amend the above men - tioned franchise and did extend the period of its opera - tion for a further period! of five years beyond the origi- nal twenty- .five.years, or until November 1, 1953, and WHEREAS, said Country Clud District Service Company did supply water to the Village of Edina, and the residents thereof,under the above described franchise of November 1, 1923, and the amendment thereto, dated October 11, 1937, and WHEREAS, on July 1, 1947, said Country Club District Service Company, and said Village of Edina did enter into a written agreement whereby said Country Club District Service Company transferred and conveyed to said Village of Edina,for good and valuable consideration, all of its right, title and interest in and to all property, real personal and mixed, comprising the complete waterworks sys- tem by which the company supplied the Village with.water, and WHEREAS, as part of said agreement, said Country Club District Service Company was to immediately sur- render the franchises giving said company the sole and ex-. clusive right to supply water to the Village, and the resi- dents thereof, NOW, THEREFORE, in-pursuance of said agreement, said Country Club District Service Company does hereby sur- render to the.Village of;Edina said.franchise of November 1, 1923,.as amended on October 11, 1937, and any and all other franchises by which it may have operated a water system in'sup- plying water to the Village of Edina, and the residents thereof. IN WITNESS WHEREOF, the Country Club District Service Company has caused its corporate name to be hereunto subscribed by its President and Treasurer, and its Vice Presi- dent, and its corporate seal to be hereunto affixed this 7th day of August, 1947. SURRENDER OF SEWER SYSTEM FRANCHISES WHEREAS, on May 21, 1923,-the Village Council of the Village of Edina, did ordain and adopt a certain ordi- nance granting to Country Club District Service Company, a corporation organized under the laws of Minnesota, its suc- cessors, and assigns, the right and privilege to inst -all, maintain and operate a sewerage system for a period of twenty -five years within certain legally described terri- tory, all situate in the Village of Edina, County of Henne- pin, State of Minnesota, and WHEREAS, on June 6, 1923, the Board of Direc- tors of Country Club District Service Company, at a meeting of said Board of Directors, duly held'on that date, did adopt a resolution authorizing and directing said Country Club District Service Company to accept said ordinance and " file the same with the Village Clerk of the Village of Edina, and WHEREAS, said Country Club District Service Company has maintained both a storm sewer system and a sani- tary sewer system in the Village of Edina, under the above described :ftra= n.-.c.his.e, and WHEREAS, on July 1,,1947, said Country Club District Service Company did, for good- and-valuable considera- tion, convey and quitclaim to the Village of Edina, all its interest in both the storm sewer system and the sanitary sewer system, located in and around the Village "of Edina', and WHEREAS, in.-said quitclaim deed, the company agreed to surrender to the Village of Edina the franchise held by it on said storm sewer system and said sanitary sys- tem, 0 NOW, THEREFORE, in.pursuance of said agreement, said Country'Club District Service Company does hereby surrender said franchise of May 21, 1923, and any and all other franchises by which it may have maintained a sewerage system in the Village of Edina.
